Existing Information definition

Existing Information has the same meaning of that referred to in Article 1.09 of the Frame Agreement
Existing Information means all information known by the Indemnified Party’s Group and/or any Relevant Protected Person concerning or indicating the likely presence of Pre-Close Contamination or the Saint-Mihiel Retained Contamination Liabilities at the Completion Date which shall include, for the avoidance of doubt: (i) to the extent knowledge was acquired in the course of providing advice to the Indemnified Party’s Group and/or any Relevant Protected Person, their respective professional advisers (including without limitation, the Purchaser’s solicitors); (ii) any reports produced by the Purchaser and/or any Relevant Protected Person and/or their respective professional advisers in relation to this transaction as at the Completion Date; and (iii) all information fairly disclosed by the Seller, the Retained Group and the EDS Entities to the Indemnified Party and/or any Relevant Protected Person including without limitation all matters contained in the Data Room and the Disclosed Information as at the Completion Date; provided always and for the avoidance of doubt this shall not include any such information which was known to the EDS Entities prior to the Completion Date but which was not disclosed to the Purchaser and/or any Relevant Protected Person;

More Definitions of Existing Information

Existing Information means any information developed solely by either Party during any program undertaken by the Parties to jointly develop a Product as well as any information contributed by such Party to the joint development program of the Feeder Product. Each Party shall designate in writing what constitutes its Existing Information from time to time.
Existing Information means LRS's specifications, designs, plans, drawings, software, data prototypes or other technical or business information related to the Lightning Rod Interaction Manager(TM) computer software which (i) existed prior to full execution of this Agreement and as evidenced by the written record kept by LRS in the ordinary course of its business and (ii) is considered proprietary or confidential. LRS and Dialogic will identify and detail any and all LRS Pre-Existing Information in each Statement of Work.

Related to Existing Information

  • Supporting information means the experience and judgment of the filer and the experience or data of other insurers or organizations relied on by the filer, the interpretation of any statistical data relied on by the filer, description or methods used in making the rates and any other similar information required to be filed by the commissioner.

  • Marketing Information means marketing studies, marketing analyses, and similar research and information designed to identify potential customers and business relationships.

  • Accounting Information means (a) the annual audited consolidated financial statements of the Group and (b) the quarterly unaudited consolidated financial statements of the Group, each as provided or (as the context may require) to be provided to the Bank in accordance with clause 5.1.4;

  • Pricing Information means the information relating to (i) the number of Shares issued and (ii) the offering price of the Shares included on the cover page of the Prospectus.

  • Restricting Information has the meaning specified in Section 10.09(a).

  • Patient identifying information means an insured's address, telephone number, facsimile number, electronic mail address, photograph or likeness, employer, employment status, social security number, or any other information that is likely to lead to the identification of the insured.

  • Keeping information confidential means using discretion in disclosing information as well as guarding against unlawful or inappropriate access by others. This includes:

  • Benchmarking Information means information generated by Portfolio Manager, as herein defined including descriptive information about the physical building and its operational characteristics.

  • Financial Information has the meaning set forth in Section 4.6.

  • Appendix Information means the information which must be provided for the selected modules as set out in the Appendix of the Approved EU SCCs (other than the Parties), and which for this Addendum is set out in:

  • Commercial Information means information regarding the purchase and sale of goods and services, including, but not limited to, information regarding marketing strategy, production data, assessments of goods and services, mineral exploration records, and compilations of data regarding commercial activity.

  • Program Information has the meaning set forth in Section 14.8.

  • Information has the meaning specified in Section 10.07.

  • Company Financial Information As defined in Section 2(a)(ii).

  • Personal Identifying Information or “PII” means information that alone, or in conjunction with other information, identifies an individual, as defined at Tex. Bus. & Com. Code § 521.002(1).

  • Derived Information means such written information regarding the Notes as is disseminated by any Underwriter to a potential investor, which information is not any of (A) Issuer Information, (B) Prepricing Information or (C) contained in the Registration Statement, the Preliminary Prospectus, the Ratings Free Writing Prospectus or the Prospectus or any amendment or supplement to any of them, taking into account information incorporated therein by reference (other than information incorporated by reference from any information regarding the Notes that is disseminated by any Underwriter to a potential investor); and

  • Forward-Looking Information means disclosure regarding possible events, conditions or financial performance that is based on assumptions about future economic conditions and courses of action and includes future-oriented financial information with respect to prospective financial performance, financial position or cash flows that is presented as a forecast or a projection;

  • Customer's Confidential Information means all Personal Data and any information, however it is conveyed, that relates to the business, affairs, developments, trade secrets, know-how, personnel, and suppliers of the Customer, including all IPRs, together with all information derived from any of the above, and any other information clearly designated as being confidential (whether or not it is marked "confidential") or which ought reasonably be considered to be confidential;
