Existing Note Documents definition

Existing Note Documents means “Transaction Documents” (as such term is defined in the Existing Indenture).

Existing Note Documents means, collectively, the Existing Notes Indenture, the Existing Notes, each Note Guarantee (as defined in the Existing Notes Indenture) and all other documentation related to the Existing Notes;

Existing Note Documents means the indentures and/or trust agreements pursuant to which the Existing Notes were issued.

Examples of Existing Note Documents in a sentence

• The Obligations constitute “Senior Indebtedness” (or other comparable term) of the Company under and as defined in the Existing Note Documents governing any Subordinated Indebtedness.

• As of the Closing (but immediately prior to the execution of the New Note Documents), the Shares will be validly issued, fully paid and non-assessable, will be free and clear of all Encumbrances (other than any Encumbrances created by the Existing Note Documents), and will not be subject to any pre-emptive rights or other similar rights of shareholders of the Company.

More Definitions of Existing Note Documents

Existing Note Documents means the Existing Notes Indenture, the Existing Senior Notes and the Notes Collateral Documents.

Existing Note Documents means the Existing Indenture, the Existing Notes, the Existing Intercreditor Agreement and the Existing Notes Security Documents and other documents and agreements executed in connection therewith.

Existing Note Documents means (i) the October Purchase Agreement, (ii) the Senior Notes and related warrants and (iii) the four Guaranties, dated November 3, 2010, by SAIL Venture Partners, LP executed in favor of Deerwood Holdings, LLC and Deerwood Partners, LLC, as holders of Senior Notes (the “Existing Guaranties”).

Existing Note Documents means, collectively, (a) the Master Security Agreement, dated as of February 8, 2005, among Seller, the Company and certain other Subsidiaries of Seller in favor of Laurus; (b) the Stock Pledge Agreement, dated as of February 8, 2005, between Seller and Laurus; and (c) the Subsidiary Guarantee, dated as of February 8, 2005, from the Company and certain other Subsidiaries of Seller to Laurus.

Existing Note Documents the collective reference to the Existing Notes and the Existing Note Indentures.

Existing Note Documents means, collectively, the Senior Note Documents and the Senior Subordinated Note Documents.

Existing Note Documents means the Existing Notes Indenture, the Existing Senior Notes and the Notes Collateral Documents. “Existing Senior Notes” means the Partnership’s 7.500% Senior Notes due 2020 and 5.875% Senior Notes due 2024.
