Existing Process means the manufacturing process for Drug Substance and / or Drug Product used for the manufacture of Drug Substance and / or Drug Product as of the LOI Effective Date and described in the technology transfer documents provided by Sophiris or otherwise disclosed on behalf of Sophiris to BI RCV at the start of the Technology Transfer Period.

Existing Process has the meaning set forth in Section 6.3(a).

• Prior to initiation of the Existing Process Technology Transfer, the Parties, through the JMC, shall submit to the JSC for approval, as part of the Manufacturing Plan, a technology transfer plan, defining the scope, timeline and conditions of the Existing Process Technology Transfer (the “Existing Process Technology Transfer Plan”), which technology transfer shall continue until the Technology Transfer Completion Date.

• Monsanto, MAGI and Millennium shall treat all payments under Sections 5.2, 5.3, 5.4(b) and 5.4(c) as amounts paid for qualified research under Section 41(b)(3) of the Internal Revenue Code of 1986, or such other section as may become effective after the Effective Date, except to the extent that the Milestone Payments under Section 5.3 are based upon the achievement of an Annual Milestone primarily related to the Millennium Existing Process Technology or the Millennium Existing Product Technology.
