Existing Promotional Materials definition

Existing Promotional Materials means those advertising, marketing, sales, and promotional materials (including interior and exterior signage) in existence as of the Effective Time that bear any of the Licensed Trademarks and are included in the EHP Assets.
Existing Promotional Materials shall have the meaning set forth in Section 6.5(a).
Existing Promotional Materials means any advertising and promotional materials that were used by Licensee or any of the Acquired Companies during the twelve months prior to the Effective Date and any advertising or promotional materials that are substantially the same as such materials.

  • Aspreva agrees that it will not develop or use any promotional materials with respect to pharmaceutical products other than the Product, either itself or with or through any Third Parties, which compromise or otherwise misappropriate or infringe upon, or are confusingly similar to, any trade dress rights or "look and feel" of the Existing Promotional Materials.

  • Licensee shall be permitted to use all Existing Promotional Materials without approval.

  • With respect to approval of any new promotional materials as “New Promotional Materials”, Licensor shall not unreasonably withhold, condition or delay its approval any new promotional materials if such promotional materials: (i) shall be of a standard of quality that is substantially equal to or better than the quality of the Existing Promotional Materials, and (ii) are intended for the same or substantially equivalent purpose and application as the Existing Promotional Materials.

  • Roche hereby grants to Aspreva the right, during the Term, to use all Existing Promotional Materials in conjunction with Aspreva Commercialization Activities under this Agreement, and to make derivative works based thereon as provided in Section 6.5(b), in all cases as provided in the Commercialization Plan.

  • As between Roche and Aspreva, Aspreva shall own all right, title, and interest in and to any intellectual property appurtenant to the Aspreva Promotional Materials, including any Aspreva House Marks and copyrights, but excluding the Roche Trademarks, Roche House Marks and any other intellectual property of Roche appurtenant to the Existing Promotional Materials.

  • Such Existing Promotional Materials shall include, by way of example, [ * ] As between Roche and Aspreva, Roche shall own all right, title, and interest in and to any such Existing Promotional Materials provided to Aspreva hereunder, including applicable copyrights and trademarks.

  • Roche expressly agrees and acknowledges that the Aspreva Promotional Materials may include, without limitation, derivative works based on one or more Existing Promotional Materials.

Existing Promotional Materials means all the existing and Readily Available stocks of promotional materials, including all website content, sales promotional aids, marketing literature, printed marketing materials and such other documents and materials in existence and use for the Sold Business as at the Closing.
