The security interest granted by the Company under the Security and Pledge Agreement, and by the Company’s Material Subsidiaries under the Subsidiary Security and Pledge Agreement, securing the indebtedness evidenced by this Note, including all Obligations, is senior to all other liens, security interests or encumbrances securing any other indebtedness of each of the Company and its Material Subsidiaries other than the Permitted Existing Secured Indebtedness (pursuant to the Intercreditor Agreement).
Amend, modify, supplement, waive or replace any document, instrument or agreement (or any terms or conditions thereof) entered into in connection with or evidencing the Existing Secured Indebtedness (except to the extent otherwise permitted by the terms hereof) or any Secured Intercompany Loans unless, in each case, such amendment, modification, supplement, waiver or replacement is consented to in writing by Administrative Agent acting at the direction of Majority Lenders.
The Company shall assist the Purchaser with any and all filings necessary or appropriate and reasonably requested by the Purchaser for the perfection of the security interests granted under this Agreement provided that such security interests shall be subordinate to the security interests of the holders of the Permitted Existing Secured Indebtedness pursuant to the Intercreditor Agreement.
An election by Purchaser under this Section 2.03 shall increase the portion of the Purchase Price being paid in cash by an amount equal to the amount necessary to satisfy in full the Existing Secured Indebtedness designated for satisfaction by Purchaser.
Purchaser must notify MOP and the Escrow Agent in writing of an election under this Section 2.03 fifteen (15) days prior to the Closing Date, which notice shall include a description of the particular Existing Secured Indebtedness (and the applicable Properties) that the Purchaser is electing that a Seller or MOP satisfy at Closing.
