Existing Secured Indebtedness definition

Existing Secured Indebtedness means the secured Indebtedness existing on the Closing Date specified on Schedule 5.02(a).
Existing Secured Indebtedness means (a) the Credit Agreement, dated as of January 26, 2017, among the Borrower, Holdings, the lenders party thereto and Keybank National Association, as administrative agent, (b) the Credit Agreement, dated as of August 31, 2015, as amended on February 17, 2017, among Corporate Risk Acquisition, LLC, Corporate Risk Holdings, LLC, the lenders party thereto and Cerberus Business Finance, LLC, as administrative agent, (c) the Indenture, dated as of July 3, 2014, between Corporate Risk Holdings, LLC and Wilmington Trust, National Association, as trustee, governing the 9.50% Senior First Lien Secured Notes due 2019 and (d) the Indenture, dated as of July 3, 2014, between Corporate Risk Holdings, LLC and Wilmington Trust, National Association, as trustee, governing the 13.50% PIK/11.50% Cash Pay Senior Second Lien Secured Notes due 2020, in each case, as amended, restated, supplemented or otherwise modified from time to time prior to the date hereof.
Existing Secured Indebtedness means the facility granted to the Issuer by UniCredit S.p.A. pursuant to a facility agreement entered into on 22 December 2016 and secured by a privilege granted, pursuant to Article 46 of Legislative Decree No. 385, of 1 September 1993, over seven ETR 350, out of which Euro 22,102,177 have been disbursed.
