Existing Shareholders Agreements definition

Existing Shareholders Agreements means the Terms of Agreement entered into by the Shareholders as at the date of such Agreement;

• Except for this Agreement and the transactions contemplated hereby, no Shareholder has any legal obligation, absolute or contingent, to any person or firm to sell the Company's capital stock or to enter into any agreement with respect thereto except as contemplated by the Existing Shareholders Agreements.

• The Shareholders are the beneficial and record owners of the Company's capital stock, free and clear of any liens, encumbrances or restrictions on transfer of any nature whatsoever other than the obligations of Shareholders arising under this Agreement to sell the Company's capital stock to Sage and other than the existing shareholders agreements (the "Existing Shareholders Agreements") which will be terminated prior to the Closing Date.

• Each of the Significant Shareholders hereby agrees that, upon receipt of the consideration set forth herein, each of the Existing Shareholder Agreements has been terminated by the parties thereto such that the Existing Shareholders Agreements are of no further force and effect, and neither the Buyer nor the Company shall have any further obligations with respect thereto.

• The Company shall have delivered to Newco evidence satisfactory to Newco that the Existing Shareholders Agreements shall have been terminated and no longer in force and effect.

Existing Shareholders Agreements shall have the meaning set forth in the recitals.
