Existing Third Party Systems Software definition

Existing Third Party Systems Software means Third Party Systems Software licensed from one or more third parties by Empire as of the Effective Date and that was being utilized by Empire immediately prior to the Effective Date in performing functions that form part of the Services, including the Software identified as such in Schedules G-1 S, G-2 S and G-3 S.
Existing Third Party Systems Software means Third Party Systems Software that exists on the Effective Date and was being utilized by Phoenix or its Affiliates immediately prior to the Effective Date in performing functions that form part of the Services. Existing Third Party Systems Software includes all Existing Third Party Systems Software listed in Schedule I (Existing Systems Software), and any additional Existing Third Party Systems Software, subject to the application of Section 3.5.
Existing Third Party Systems Software means Third Party Systems Software that exists on the Effective Date and was being utilized by ACI or its Affiliates immediately prior to the Effective Date [*].

  • Provided that Empire maintains legal responsibility for any Existing Third Party Systems Software upon expiration or termination of this Agreement, IBM shall cease all Use of such Software upon expiration or termination of this Agreement, except as otherwise requested or approved by Empire.
