Existing Warrant definition

Existing Warrant means a “Warrant” as defined in the Existing Purchase Agreement;

Existing Warrant means that certain Class B Warrant No. 2020-01 issued by Xxxxx on or about July 1, 2020, in favor of the BCUK in respect of ten (10) Class B Units of Griid, which warrant has been cancelled and replaced by the Supplemental Warrant.

Existing Warrant means, collectively, (i) the Warrant to purchase Common Stock of the Company, together with the exhibits thereto, dated on or about January 25, 2017 issued by the Company to the Purchaser on the Original Closing Date pursuant to the Existing Note Purchase Agreement, and (ii) any warrant issued and delivered by the Company to the Purchaser (or any successors or assigns of the Purchasers) on or after the Closing Date in substitution, replacement or exchange of the Existing Warrant referred to in clause (i) of this definition, in each case as amended, restated, supplemented or modified from time to time.

Examples of Existing Warrant in a sentence

• As a result thereof, all references to the “Company” in the Existing Warrant Agreement shall be references to Biomotion Sciences rather than Moringa Acquisition Corp.

• References to “the Company” in Section 8.6 of the Existing Warrant Agreement shall mean “Moringa”.

• The preamble on page one of the Existing Warrant Agreement is hereby amended by deleting “Moringa Acquisition Corp, a Cayman Islands exempted company” and replacing it with “Biomotion Sciences, a Cayman Islands exempted company”.

• SPAC and the Warrant Agent hereby amend and restate the Existing Warrant Agreement and the Public Warrants and Private Placement Warrants issued thereunder in accordance with Section 9.8 of the Existing Warrant Agreement, in its entirety in the form of this Agreement as of the Closing (as defined in the Merger Agreement).

• The Company hereby assumes, and agrees to pay, perform, satisfy and discharge in full, as the same become due, all of SPAC’s liabilities and obligations under the Existing Warrant Agreement and the Warrants (each as amended hereby) arising from and after the Closing (as defined in the Merger Agreement).

Existing Warrant means collectively those certain warrants to purchase an aggregate of 1,200,000 shares of TMN's Common Stock, dated as of March 3, 1998 and expiring March 3, 2003, held by Samstock, EGI-Transmedia, Halmostock Limited Partnership and Robexx X. Xxxxxxx, xx Trustee.
