Examples of Exit Events in a sentence
Except as specifically provided otherwise in this Agreement or any Ancillary Agreement, all costs and expenses incurred by the Parent Group in connection with the Distribution and related transactions shall be paid by Parent, and all costs and expenses incurred by the SpinCo Group in connection with the Distribution and related transactions prior to the Distribution Effective Time shall be paid by SpinCo in accordance with Section 10.08 (Exit Events Expenses) of the LLC Agreement.
Consideration from Exit Event under clause 4.3 shall be paid in cash within 15 (fifteen) days from the closing of the Exit Events defined above.
Exit Consideration will be paid to Isorad in respect to each Exit Event, in case of multiple Exit Events.
Isorad shall be entitled to a fee equal to 1% of the Exit Consideration (the “Exit Fee”) of two Exit Events (i.e. twice) at its choice.
