Examples of Exit Offer in a sentence
IUBT or ICF as the case may be will notify the Option Holders in writing, within 15 days of its receipt of the Exit Offer (the “Exit Notice”), that (i) IUBT or ICF, as the case may be, wishes to accept the Exit Offer and (ii) in the case of an asset sale or other business combination, IUBT and/or ICF intends to vote to approve the transaction described in the Exit Offer.

The fair value per Equity Share of Rs. 5.06 (Five Rupees and Six Paisa only) to be paid by the Offeror to the Public Shareholders under the Exit Offer has been determined by the independent valuer appointed by the BSE.
Accordingly, the Offeror on behalf of the Promoters of the Company, in compliance with regulation 23(3) of the Delisting Regulations, is hereby making an Exit Offer to the Public Shareholders of the Company.
Clauses 20.2 to 20.3 shall apply in respect of the Exit Offer and the acceptance period and process in respect thereof, mutatis mutandis.
The terms and conditions for the sale of Units pursuant to any Exit Offer, with the exception of the purchase price to be paid, shall be as stated in the form of Purchase Agreement attached hereto as Schedule C (the "Purchase Agreement") except as otherwise mutually agreed in writing on or before the Agreement Date.
If the Merchant Banker does not receive the documents listed in paragraph (a) but receives the Equity Shares held by any Public Shareholders in the Offeror’s Depository Account, the Offeror may deem the Exit Offer to have been accepted by such Public Shareholders.
For the avoidance of doubt, an acceptable form of Exit Offer is attached hereto as Schedule E.
The Exit Offer Price is as per the Fair Valuation determined by the BSE Ltd.
All the Public Shareholders of the Company are eligible to participate in this Exit Offer.
