Expense Percentage definition

Expense Percentage means, with respect to each calendar month during the term of the Notes, the percentage equal to (i) the percentage basis points representing the Primary Servicing Fees, Auction Agent Fees and Broker-Dealer Fees payable during that month plus (ii) (a) the Administration Fees payable during the Collection Period in which that month occurs times 4 divided by (b) the total principal balance of the Notes outstanding, as of the immediately preceding Distribution Date (minus any funds on deposit in the Future Distribution Account allocated to principal on any Auction Rate Notes but not yet payable).
Expense Percentage the fees payable to the Administrator, the Servicer, the Broker-Dealers and the Auction Agent as a percentage of the total principal balance of the Notes outstanding.
Expense Percentage means the quotient obtained by dividing (A) the Expense Cash by (B) the sum of Total Merger Consideration and the Aggregate Exercise Price.

Expense Percentage means the applicable percentage set forth in the Closing Spreadsheet.

  • Allocable Percentage means, on any date of determination thereof, a fraction the denominator of which shall be equal to the number of Borrowers who are parties to this Agreement on such date and the numerator of which shall be 1; provided, however, that such percentages shall be modified in the event that contribution from a Borrower is not possible by reason of insolvency, bankruptcy or otherwise by reducing such Borrower’s Allocable Percentage equitably and by adjusting the Allocable Percentage of the other Borrowers proportionately so that the Allocable Percentages of all Borrowers at all times equals 100%.

  • L/C Percentage as to any L/C Lender at any time, the percentage of the Total L/C Commitments represented by such L/C Lender’s L/C Commitment, as such percentage may be adjusted as provided in Section 2.23.
