Export Territory definition

Export Territory means, subject to Section 10.2, in respect of a particular JV Product line, the countries and areas listed in Schedule 1.1A;
Export Territory means a country in which APAL owns, has registered, or has applied to register, any of the Trade Marks but excludes Canada and the SMSP Territories; Law means principles of law or equity established by decisions of courts, statutes, regulations or by- laws, economic sanctions or export control programs and requirements and approvals (including conditions) that have the force of law, in any jurisdictions that have application to a party to this Licence or activity conducted by the Licensee; Licensed Product means Product which bear or will be sold in association with the Trade Marks; Master Licence means the licence between APAL and PLA granting to APAL the right to use the PINK LADY Trade Marks in the Territory for exports from, and imports to, the Territory; Penalties means the fees set out in item 4D of Schedule 1 and payable pursuant to clause 4; PINK LADY Trade Marks means the unregistered and registered PINK LADY trade marks in the Territory and the Export Territory set out in Schedule 2; Product means fresh apples of the ▇▇▇▇▇▇ Pink variety and the ▇▇▇▇▇▇ Pink mutation varieties listed in item 5 of Schedule 1 which meet the Quality Specifications; Quality Specifications means the quality specifications set out in Schedule 3; SMSP Territories means the territories covered by APAL’s Selective Market Supply Program as notified to the Licensee in writing by APAL from time to time and which include Thailand, Vietnam, Qatar, United Arab Emirates and the Kingdom of Saudi Arabia; Territory means the United States of America and Mexico; Trade Marks means the unregistered and registered PINK LADY and PINKIDS trade marks in the Territory and the Export Territory set out in Schedule 2; and Volume Fee means the fee payable by a Licensee to APAL or its Master Licensee which includes a royalty, an administration fee, plus promotional funding and is calculated per metric tonne.

Examples of Export Territory in a sentence

  • All costs and expenses incurred by Sumitomo for its sales and marketing efforts for such "second look" sales into the Export Territory shall be born entirely by Sumitomo.

  • In addition to any single run discounts, volume rebates, or any other discounts that may be applicable to the particular sale, Sumitomo shall be entitled to a sales commission of $1.00 per ton of Product purchased from SDI for sale in the Export Territory.

  • The Licensee acknowledges that access to the SMSP Territories will be subject to the same terms and conditions which apply to an Export Territory under this Export Licence, as well as any additional terms and conditions notified to the Licensee at the time of authorisation.

  • All sales to or through Sumitomo into the Export Territory shall be for Sumitomo's own account, regardless of whether it is purchasing Product for its own use in the Export Territory or for resale to customers therein.

  • It is understood by SDI that the price and terms and conditions of resale by Sumitomo in the Export Territory shall be determined by Sumitomo in its sole discretion, and any and all payments made by Sumitomo's customers in the Export Territory for Products sold hereunder shall be retained by Sumitomo for its own account.

  • Sumitomo shall be responsible for obtaining all required governmental licensing permits and for satisfying whatever formalities may be required with respect to any sales into the Export Territory effected to or through Sumitomo.

  • Within twenty (20) days after receiving SDI's notice of availability of specific Product for export sale into the Export Territory, Sumitomo shall submit purchase orders to SDI, in writing, specifying the Product ordered, the quantity thereof, delivery dates, and other proposed terms and conditions.

  • Sumitomo has requested, and SDI has agreed, that in the event that Preussag declines or is unable to provide SDI with purchase orders for all or any portion of SDI's products that SDI wishes to provide for sale into the Export Territory, Sumitomo should have the opportunity to market and sell such product.
