Extended Force Majeure Event definition

Extended Force Majeure Event has the meaning set forth in Section 14.4.1.

Examples of Extended Force Majeure Event in a sentence

  • Gatherer’s notification shall include a good faith estimate of the length of the Extended Force Majeure Event and when Gatherer anticipates it again will be able to accept such Crude Oil volumes subject to Shipper’s Dedication.

  • Shipper and Gatherer will work together in good faith to find alternative gathering and/or transportation services for such Crude Oil volumes subject to Shipper’s Dedication and affected by the Extended Force Majeure Event.

  • In addition, to the extent Contractor incurs or will incur additional out-of-pocket costs and expenses as a result of an Extended Force Majeure Event, Owner shall issue a Scope Change Order increasing the Agreement Price to include such increased out-of-pocket costs and expenses (without any mxxx-up by Contractor).

  • The term of any such alternative gathering and/or transportation service agreement must end no later than the first (1st) Day of the second (2nd) full Month following Gatherer’s notification’s estimated end date for the Extended Force Majeure Event.

  • Notwithstanding anything to the contrary, (a) to the extent Contractor is compensated for the effect of a Force Majeure Event by insurance maintained pursuant to Article 12, or (b) to the extent Owner would have been so compensated but for Contractor’s failure to provide such insurance as required under Article 12, Contractor shall not be entitled to a Scope Change Order in the Agreement Price in connection with such Scope Change Order issued for such Extended Force Majeure Event.

  • If an Extended Force Majeure Event occurs, then PTFI may, upon ten (10) days prior written notice, terminate this Agreement.

  • If the Party claiming an excuse under this Article 16 has reason to believe that a Force Majeure Event is an Extended Force Majeure Event, it shall notify the other Party promptly and shall submit a Force Majeure Remedy Plan to the other Party within thirty (30) Days thereafter.

  • If the party claiming an excuse under this Article 10 has reason to believe that a Force Majeure Event is an Extended Force Majeure Event, it shall notify the other party promptly and shall submit a Force Majeure Remedy Plan to the other party within thirty (30) days thereafter.

  • In the event that Nordion is not able to perform its obligations under this Agreement for a period of 30 consecutive days (or 45 days out of any 90 consecutive day period) due to force majeure (an "Extended Force Majeure Event"), Guilford may, at its sole and exclusive option, terminate this Agreement pursuant to the provisions of subsection 8(c) above.

Related to Extended Force Majeure Event

  • Force Majeure Event means an event, or a series of related events, that is outside the reasonable control of the party affected (including failures of the internet or any public telecommunications network, hacker attacks, denial of service attacks, virus or other malicious software attacks or infections, power failures, industrial disputes affecting any third party, changes to the law, disasters, explosions, fires, floods, riots, terrorist attacks and wars);

  • Force Majeure means an event beyond the control of the supplier and not involving the supplier’s fault or negligence and not foreseeable. Such events may include, but is not restricted to, acts of the purchaser in its sovereign capacity, wars or revolutions, fires, floods, epidemics, quarantine restrictions and freight embargoes.

  • Force Majeure Delay means with respect to the Servicer, any cause or event which is beyond the control and not due to the negligence of the Servicer, which delays, prevents or prohibits such Person’s delivery of the reports required to be delivered or the performance of any other duty or obligation of the Servicer under the Indenture, as the case may be, including, without limitation, computer, electrical and mechanical failures, acts of God or the elements and fire; provided, that no such cause or event shall be deemed to be a Force Majeure Delay unless the Servicer shall have given the Indenture Trustee written notice thereof as soon as practicable after the beginning of such delay.

  • Force Majeure Notice means a notice to be given by the Affected Party to the other party stating that a Force Majeure Event has occurred;

  • Excused Outage means any disruption to or unavailability of Services caused by or due to (i) Scheduled Maintenance,

  • Benchmark Unavailability Period means, the period (if any) (a) beginning at the time that a Benchmark Replacement Date has occurred if, at such time, no Benchmark Replacement has replaced the then-current Benchmark for all purposes hereunder and under any Loan Document in accordance with Section 2.17 and (b) ending at the time that a Benchmark Replacement has replaced the then-current Benchmark for all purposes hereunder and under any Loan Document in accordance with Section 2.17.

  • Outage has the meaning set forth in the CAISO Tariff.

  • Natural Disaster means a flood, hurricane, tornado, earthquake, volcanic eruption, fire, wildfire or blizzard that is due to natural causes.

  • Catastrophic illness or “injury” means an illness or injury that is expected to incapacitate the employee for an extended period of time, or that incapacitates a member of the employee’s family which incapacity requires the employee to take time off from work for an extended period of time to care for that family member, and taking extended time off work creates a financial hardship for the employee because he or she has exhausted all of his or her sick leave and other paid time off.

  • Catastrophic Event means an unforeseen event of a biotic or abiotic nature caused by human action that leads to important disturbances in agricultural production systems or forest structures, eventually causing important economic damage to the farming or forestry sectors;
