Facilities and Equipment means all infrastructure supporting the development, drilling, construction, completion or operation of any gas or oil operation including but not limited to well drilling equipment, well heads, separators, compressors, pumps, manifolds, vehicles, fluid circulation systems, waste handling facilities, storage tanks, valves, pipelines, etc., used to explore for, produce or transport oil or gas.

• Except as set forth in Exhibit C ("Facilities and Equipment"), Contractor shall, at its sole cost and expense, furnish all facilities and equipment, which may be required for completing the Scope of Work pursuant to this Agreement.

• IXC reserves the right to make periodic inspections of any part of the fiber, POP-to-POP Interconnect Facilities and Equipment located within or physically attached to the IXC Premises; provided that PSINet shall have the right to have one or more of its employees or representatives present during the time of any such inspection.

• In the event PSINet fails to remove its fiber, POP-to-POP Interconnect Facilities and Equipment within such ten (10) day period, the fiber, POP-to-POP Interconnect Facilities and Equipment shall be deemed abandoned and IXC, at its sole discretion and without liability, may remove the fiber, POP-to-POP Interconnect Facilities and Equipment and be reimbursed by PSINet for all costs associated with such removal.

Facilities and Equipment means all items of personal property, fixtures and equipment which are used in connection with the ownership, operation, repair, use or maintenance of the Gathering Systems whether located on or under the Real Property or elsewhere, including, but not limited to all pipe, pipe racks, pipe inventory, connections, fittings, meters and metering facilities, measuring equipment and devices, compressors, pumps, gauges, valves, laterals, mains, tanks, heaters, dehydration units, storage facilities, tools, supplies, buildings, spare parts, field offices and other personal property which is used in connection with the ownership, operation, maintenance or repair of the Gathering Systems, excluding those items specifically set forth on Exhibit C hereto.
