Facility Contractors definition

Facility Contractors means, collectively, the Persons engaged by the Tenant to construct the Facility and/or develop the Project, Project Site and/or Improvements.
Facility Contractors means the independent contractors, staffing agencies or other service providers engaged by or on behalf of Seller or its Affiliates to provide services exclusively in connection with the Facility Operations pursuant to the agreements, contracts or other arrangements listed on Schedule 1.1(a), which shall be determined by Seller in good-faith consultation with Purchaser and updated, as needed with the consent of Purchaser, from time to time prior to the Closing Date (it being understood that Purchaser’s consent shall not be required to the extent that any updates to Schedule 1.1(a) are a result of any engagement, or termination, of any Facility Contractor that is expressly permitted by Section 7.2(a) or for which Purchaser has otherwise given its prior written consent). Seller shall provide a final Schedule 1.1(a) at least five Business Days prior to the Closing Date.
