The Authority exercises the right to grant or deny On-Water Facility Permits and any modifications to Facilities as deemed appropriate in the sole discretion of the Authority.
Seller shall design, construct, operate and maintain the Facility in material compliance with all Facility Permits and Requirements of Law, and according to Good Utility Practice.
Owner shall, with Operator's assistance, as provided in Section 4.1(o), obtain and maintain all Cogen Facility Permits (including renewals or updates thereof) and shall deliver to Operator copies of all Cogen Facility Permits together with all renewals or amendments thereof, as well as copies of all notices received by Owner from the Governmental Authorities issuing or granting such Permits.
Operator shall assist Owner in obtaining all Cogen Facility Permits, in each case on or before the dates on which such Permits are required to be obtained, and thereafter shall use its commercially reasonable efforts to maintain all such Permits in full force and effect.
The representations and warranties contained in Section 3.1.13(a) which relate to Facility Permits arising under Environmental Laws and the representations and warranties in this Section 3.1.15 shall be the exclusive representations and warranties with respect to Environmental Law and Hazardous Materials and, notwithstanding any other provision in this Agreement to the contrary, no other representation or warranty is made in this Agreement with respect to environmental matters.
Owner shall be responsible for the payment of any other fines or penalties (or settlements in lieu of fines or penalties) payable to any Governmental Authority as a result of the failure of the Facility to comply with applicable Laws or Facility Permits.
To Sellers’ Knowledge, the Facility Permits constitute all of the Permits required by Law for the operation, maintenance and use of the Facility and the Real Property and the conduct of the Business by Sellers.
Upon termination or expiration of Small Wireless Facility Permits granted pursuant to this Agreement, Carrier shall have 90 days to remove such Small Wireless Facility and restore any disruptions to the City ROW, except to the that the CPO may grant an extension of up to 30 days to vacate the property.
Any fine or penalty imposed by the Mexican government to Entrada Mexico for not having any of the Facility Permits will be the sole responsibility of Entrada and/or Entrada Mexico.
Except as set forth in Section 3.1.15 Part D of Sellers' Disclosure Schedule, all modifications to Facility Permits required to remain in compliance with Law have been made for the ownership, operation, maintenance or use of the Facility.
