Family Transfer definition

Family Transfer means the transfer of quota between spouses, direct lineal descendants and their spouses, direct lineal ancestors and their spouses, and registered partners.
Family Transfer means a transfer to a spouse, lineal descendent, or a trust for the benefit of transferor, spouse or lineal descendent, provided that in the case of each such transfer, the transfer is made in compliance with applicable federal and state securities law and the transferee agrees to be bound by the terms of this Agreement.
Family Transfer means a transfer by gift or testamentary disposition to one or more members of Stockholder's Immediate Family, to a trust solely for the benefit of the Stockholder and/or his or her Immediate Family or to a partnership or limited liability company the partners or shareholders of which are limited to the Stockholder and his or her Immediate Family (provided all such transferees remain subject to this Agreement) and "Immediate Family" means Stockholder's spouse, children or grandchildren (including adopted and stepchildren and grandchildren).

Examples of Family Transfer in a sentence

  • In the event of a Family Transfer to a Family Member who, as the result of a divorce, ceases to be a Family Member, the Transferred Units shall automatically, without notice or action, lose all voting and/or consent rights and such interest will be subject to buy-back pursuant to Section 7.06.

  • Notwithstanding the foregoing, Toronto FC: • hereby expressly allow Members to transfer or sell their match tickets to any Ticket User provided that any such Member complies with the above Sections 4 and 5;; and • may allow an individual member to request transfer of all Membership privileges to a member of that Member’s immediate family at no cost (please see Family Transfer Form for more information).


More Definitions of Family Transfer

Family Transfer has the meaning set forth in Section 7.01(a). “Final Distribution” has the meaning set forth in Section 8.02(b). “Fiscal Year” has the meaning set forth in Section 6.02. “Founder(s)” means, Xxxxx Xxxxxx, Xxx Xxxxxx and Xxxx Xxxxxxxxx. “Indemnified Party” has the meaning set forth in Section 5.03(a). “Initial Offer” has the meaning set forth in Section 3.07.
Family Transfer means a transfer pursuant to a bona fide gift to an individual constituting “immediate family” as that term is defined 17 C.F.R. 240.16a-1(c) or to a trust for the benefit of the Management Partner and/or member(s) of the Management Partner’s immediate family.
Family Transfer means any Transfer by a Member to a child, stepchild, grandchild, parent, spouse, former spouse, sibling, niece, nephew, mother-in- law, father-in-law, son-in-law, daughter-in-law, brother-in-law or sister-in-law, including adoptive relationships (each, a “Family Member”), a trust in which any such Family Members (or such Member) have more than fifty percent (50%) of the beneficial interest, a foundation or not-for- profit organization in which any such Family Members (or such Member) control the management of assets, and any other entity in which any such Family Members (or such Member) own more than fifty percent (50%) of the voting interests, provided in all instances that any consent rights provided herein remain with the transferor Member and each transferee will be an Assignee for all purposes hereunder. In the event of a Family Transfer to a Family Member who, as the result of a divorce, ceases to be a Family Member, the Transferred Units shall automatically, without notice or action, lose all voting and/or consent rights and such interest will be subject to buy-back pursuant to Section 7.06. Notwithstanding the above, Class C Units are not transferable.
Family Transfer shall have the meaning set forth in Section 4.4 hereof.
Family Transfer has the meaning specified in Section 2.03.
Family Transfer is defined in Section 10.2.
Family Transfer means a transfer described in Subsection 8(f) of the Plan.
