Family Transfer definition

Family Transfer means the transfer of quota between spouses, direct lineal descendants and their spouses, direct lineal ancestors and their spouses, and registered partners.
Family Transfer means, with respect to an individual, a Transfer (a) to the Transferor’s Family Group pursuant to applicable laws of descent and distribution or (b) to a revocable trust of which the Transferor is a trustee and of which the primary beneficiaries are the Transferor and/or the Transferor’s Family Group.
Family Transfer means a transfer by gift or testamentary disposition to one or more members of Stockholder's Immediate Family, to a trust solely for the benefit of the Stockholder and/or his or her Immediate Family or to a partnership or limited liability company the partners or shareholders of which are limited to the Stockholder and his or her Immediate Family (provided all such transferees remain subject to this Agreement) and "Immediate Family" means Stockholder's spouse, children or grandchildren (including adopted and stepchildren and grandchildren).

More Definitions of Family Transfer

Family Transfer means a transfer to a spouse, lineal descendent, or a trust for the benefit of transferor, spouse or lineal descendent, provided that in the case of each such transfer, the transfer is made in compliance with applicable federal and state securities law and the transferee agrees to be bound by the terms of this Agreement.
Family Transfer shall have the meaning set forth in Section 4.4 hereof.

In the event of a Family Transfer to a Family Member who, as the result of a divorce, ceases to be a Family Member, the Transferred Units shall automatically, without notice or action, lose all voting and/or consent rights and such interest will be subject to buy-back pursuant to Section 7.06. Notwithstanding the above, Class C Units are not transferable.
