FEFTA Designated Business definition

FEFTA Designated Business means any business that is (a) listed in the appended table 1 or 2 to the Public Notice Specifying Business Types to Be Specified by the Minister of Finance and the Competent Minister for the Business Pursuant to the Provisions of Article 3, Paragraph 3 of the Japanese Order on Inward Direct Investment, as amended and supplemented from time to time, (b) not listed in any of the appended tables 1, 2 and 3 to the Public Notice Specifying Business Types to Be Specified by the Minister of Finance and the Competent Minister for the Business Pursuant to the Provisions of Article 3, Paragraph 3 of the Order on Inward Direct Investment, or (c) listed in the appended table to Public Notice Specifying Business Types to Be Specified by the Minister of Finance and the Competent Minister for the Business Pursuant to the Provisions of Article 3, Paragraph 1 and Article 4, Paragraph 2 of the Japanese Order on Inward Direct Investment, as amended and supplemented from time to time.
FEFTA Designated Business means any business which would, if not utilizing the “prior notification exemption system” (jizen todokede menjo seido), require a Foreign Investor to submit a notification to the applicable Japanese governmental authorities prior to its “inward direct investment, etc.” (tainai chokusetsu toshi tou) or “specific acquisition” (tokutei shutoku), each as defined in the FEFTA, relating to the Company pursuant to Article 27, Paragraph 1 of FEFTA or Article 28, Paragraph 1 of FEFTA.
FEFTA Designated Business shall have the meaning set forth in Section [5.11].

  • Accordingly, the Company shall notify the Depositary, as of the date of a notice to the effect that no FEFTA Covered Entity is engaging, or has a plan to engage, in any FEFTA Designated Business, as to the number of Shares that would constitute ten percent of the Company’s share capital or voting rights and, thereafter, shall notify the Depositary of any change in that number.

  • The Company shall notify the Depositary as to whether or not, as of the date of the Deposit Agreement, any FEFTA Covered Entity engages or has a plan to engage in any FEFTA Designated Business and thereafter shall notify the Depositary promptly of any change or anticipated change in the FEFTA Designated Businesses, if any, in which any FEFTA Covered Entity is engaged and shall warrant to the Depositary that the information in each notice of that kind is complete and correct.
