Final Delivery definition
Final Delivery means a delivery of a batch or the remainder thereof so that the batch is completely removed from the mainline and held in either Carrier's tankage or consignee's facilities or delivered into the facilities of other Carriers.
Final Delivery shall consist of all completed and final approved visual effects shots as well as a separate drive containing all of the individual shot assets, including without limitation, matte paintings, wire frames and textures, clean plates, layered (not collapsed) native files (e.g., Photoshop, After Effects), and any other elements required to build the shots. Company shall not sub-contract any of the work to be performed hereunder without Producer’s prior written approval, which shall not be unreasonably withheld.
Final Delivery. The final delivery of all the goods and services as detailed in the List of Goods and Services provided for in the proposal submitted by OTI. If there are inconsistencies between the Contract and the documents thereof, the Contract provisions will prevail. If there are contradictions between the contractual provisions, the contracting Entity will determine the prevalence of a text, in accordance with the contractual purpose. If the CONTRACTOR´S bid contained in its offer differs from the content of the bidding specifications or if it specifies its scope, the content of said offer will apply for the contractual implementation.
Examples of Final Delivery in a sentence
The ‘Publisher’ agrees that the ‘Article’, if published, shall be published within 12 months of the Final Delivery Date, except as the date of publication may be extended by forces beyond ‘Publisher’s’ control.
Upon the sending of the Final Delivery Notice, Landlord shall have no further right to modify the Final Delivery Date.
Vendor’s Representative shall meet with Owner’s Representative and such other persons as Owner shall require at such reasonable times and in such places as Owner shall designate to discuss, amend and implement the Recovery Plan; provided however, Vendor shall not, except as provided with respect to a Force Majeure Event or Owner Caused Delay or pursuant to a Change Order, be relieved of its obligations to achieve the final delivery by the Final Delivery Date or meet its obligations under this Agreement.

Owner and Vendor mutually agree that “time is of the essence” with respect to the achievement of the critical dates set forth in Exhibit G and the Final Delivery Date.
More Definitions of Final Delivery
Final Delivery shall consist of the completed and final approved Main Title as well as a drive containing all of the individual Main Title assets, including without limitation, matte paintings, wire frames and textures, clean plates, layered (not collapsed) native files (e.g., Photoshop, After Effects), and any other elements required to build the shots. Raw CG files must be renderable to 4K resolution.
Final Delivery means, on a Research Program-by-Research Program basis, the delivery by Adimab to Alector of sequences of Program Antibodies from Adimab’s work under a Research Plan [***] for such Research Program. For clarity, if there are multiple deliveries of sequences of Program Antibodies during the course of a Research Program (e.g., one delivery with respect to the Program Antibodies generated through the initial discovery process and a subsequent delivery of sequences of Program Antibodies with respect to optimization of the initially delivered Program Antibodies into new, optimized Program Antibodies), then Final Delivery will mean only the last of such deliveries; provided, however, that in the event that [***] passes from the most recent delivery of Program Antibodies from Adimab to Alector under a Research Program and Alector has not submitted a list of Program Antibodies for additional work (e.g., optimization) with respect to such Research Program, then upon written notice by Adimab to Alector specifically referencing this Section 1.29 (Final Delivery), the last such delivery will be deemed to be the Final Delivery under such Research Program, even if the possibility exists that Adimab will perform additional work with respect to such Research Program (and even if Adimab actually subsequently performs additional work with respect to such Research Program).
Final Delivery means, on a Research Program-by-Research Program basis, the delivery by Adimab to Adagio of sequences of Program Antibodies from Adimab’s work under a Research Plan for such Research Program. For clarity, if there are multiple deliveries of sequences of Program Antibodies during the course of a Research Program (e.g., one delivery with respect to the Program Antibodies generated through the initial discovery process and a subsequent delivery of sequences of Program Antibodies with respect to optimization of the initially delivered Program Antibodies into new, optimized Program Antibodies), then Final Delivery will mean only the last of such deliveries; provided, however, that in the event that [***] passes from the most recent delivery of Program Antibodies from Adimab to Adagio under a Research Program and Adagio has not submitted a list of Program Antibodies for additional work (e.g., optimization) with respect to such Research Program, then such delivery will be deemed to be the Final Delivery under such Research Program, even if the possibility exists that Adimab will perform additional work with respect to such Research Program; provided, however, that, if Adimab actually subsequently performs additional work with respect to such Research Program, then the Final Delivery shall not be extended for the purpose of determining the Evaluation Term but shall be extended for the purpose of determining the Research Program (and related definitions).
Final Delivery shall consist of all completed and final approved visual effects shots as well as a separate drive containing all of the individual shot assets, including, but not limited to, matte paintings, wire frames and textures, clean plates, layered (not collapsed) native files (e.g., Photoshop, After Effects), and any other elements required to build the shots, that are not pre-existing Stargate Stock Elements, including but not limited to plates, 3D models and/or stock assets, unless stock slement has been used in a previous Sony production. Company shall not sub-contract any of the work to be performed hereunder without Producer’s prior written approval, which shall not be unreasonably withheld.
Final Delivery means the transfer of the ownership of the product from the Vendor to the final customer.
Final Delivery means delivery of ALL delivery materials required as per the Agreement, not just a program master. Therefore, do not use the phrase Final Delivery on an invoice unless all delivery materials have been sent to and approved by AETN. Only delivery to, and acceptance by, AETN of all delivery materials will trigger technical acceptance approval and payment (as per the Agreement).
Final Delivery means, on a Research Program-by-Research Program basis, the delivery by Adimab to Scholar Rock of antibody sequences for Program Antibodies from Adimab’s discovery efforts (i.e., completion of the types of activities described in Phase 4 in the Research Plan attached hereto as Exhibit B) for such Research Program. For clarity, if there are multiple deliveries of antibody sequences during the course of a Research Program (e.g., one or more deliveries with respect the Program Antibodies generated through the initial discovery process and a subsequent delivery of sequences with respect to optimization of the initially delivered Program Antibodies into new, optimized Program Antibodies), then Final Delivery shall mean only the last of such deliveries; provided, however, that [***], no additional services are being conducted by Adimab for such Research Program, and Scholar Rock has not submitted a list of Program Antibodies for additional work (e.g., optimization) with respect to such Research Program, then such delivery will be deemed to be the Final Delivery under such Research Program, even if the possibility exists that Adimab will perform additional work with respect to such Research Program (and even if Adimab actually subsequently performs additional work with respect to such Research Program).
