For purposes of this Section 9(1), the Underwriter shall be entitled to assume that the Offered Units are qualified for distribution in any Qualifying Jurisdiction in respect of which a Final Passport System Decision Document for the Final Prospectus shall have been obtained following the filing of the Final Prospectus.
Such delivery of the Prospectus shall be effected as soon as possible but in any event no later than 11:00 a.m. (Montréal time) on the next Business Day after the Final Passport System Decision Document or, in relation to any Prospectus Amendment, no later than 11:00 a.m. (Montréal time) on the first Business Day after a receipt for any such Prospectus Amendment is issued in accordance with the Passport System.
For the purposes of this Section 3.2, the Underwriters shall be entitled to assume that the Offered Shares are qualified for distribution in any Qualifying Jurisdiction where a Final Passport System Decision Document has been obtained, or deemed to have been obtained, from the applicable Securities Regulator, unless otherwise notified in writing.
