The Target Award shall be weighted in a manner so that 75% of the Target Award shall be based upon the Financial Performance Measure and 25% of the Target Award shall be based upon the Individual Performance Measure.

The Company reserves the right, exercisable in its sole discretion, to change any of the above determinations with respect to a Performance Period at any time before, during or after such Performance Period, provided that the Financial Performance Measure and the Financial Performance Measure targets may not be changed after the ninetieth day of the Performance Period.
In addition, the Company may use “Pre-Bonus Adjusted EBITDA” as a Financial Performance Measure, which adds back any AIP Awards made during the fiscal year to Adjusted EBITDA.
