All property policies shall (i) be subject to prior written approval of Landlord, which shall not be unreasonably withheld or delayed, and (ii) expressly provide that any loss thereunder may be adjusted with Tenant, Landlord's Financing Lender and Permitted Mortgagees, but, unless required otherwise under Landlord's Financing, shall be payable to Tenant and disbursed as set forth in Section 8.
Landlord's Financing Lender shall not be or become liable to Tenant as an assignee of Landlord's interest in this Lease until such time as such Landlord's Financing Lender, by foreclosure or other procedures, shall either acquire the rights and interests of Landlord under this Lease, and upon Landlord's Financing Lender's assigning such rights and interests to another party, Landlord's Financing Lender shall have no further such liability.

Parent shall provide written notice to Lender at least five (5) Business Days prior to the consummation of each Subsequent Financing, and if Lender desires to exercise its right to participate in such Subsequent Financing, Lender shall cooperate to consummate its Investment in such closing within five (5) days of receipt of documentation with respect thereto.

If Landlord's Financing Lender requires Landlord to prepay Ad Valorem Taxes to Lender or its designee, then upon notification from Landlord to Tenant, Tenant shall pay to Landlord with each payment of Basic Rent due hereunder an amount equal to one-twelfth (1/12th) of the estimated Ad Valorem Taxes for the then applicable calendar year.
In connection with such Replacement Mezzanine Financing, Lender shall be required to enter into the intercreditor agreement satisfying the requirements of clause (j) of the definition of Approved Mezzanine Loan (including that such intercreditor is reasonably satisfactory in all respects to Lender).
The conversion of this Note into Equity Securities under this Section 3.2 shall occur on the closing date of such Qualified Financing, and at the closing of the Qualified Financing, Lender shall execute a stock purchase agreement in the same form as that executed by the other investors of the Qualified Financing.
Borrower hereby acknowledges and agrees that upon such severing of the Loan and/or creation of Subordinate Financing, Lender may effect, in its sole discretion, one or more Securitizations of which the other Loans may be a part.
Within ninety (90) days of Landlord's submission of the partially executed SNDA to the current holder of the Financing Lender, Landlord shall obtain, and deliver to Tenant, a fully executed copy of the SNDA.
