Finished Product Inventory definition

Finished Product Inventory means all Finished Inventory of Product owned or controlled as of the Closing Date by the Elan Companies or any Affiliate thereof.
Finished Product Inventory means gold ounces in doré produced by the Mine that has not been sold;
Finished Product Inventory means (a) 950,000 pounds of unadulterated, packaged, ready to be shipped (in cartons or totes) whole bean or ground 100% premium or specialty grade arabica coffee of merchantable quality; (b) under the BROTHERS trademark or as specified by Buyer; (c) such product being no more than seven (7) months older than its manufacture date on the package for pre-pack products, and no more than ninety (90) days on bulk products, at the time of delivery to Buyer; and (d) of such combination as specified by Buyer.

  • All of the Finished Product Inventory (a) is good, issuable and merchantable in the Ordinary Course of Business, (b) was produced or manufactured in accordance with the specifications for such Product as set forth in the applicable Product Registrations and in compliance with applicable Law and (c) has at least a 12 month shelf life.

  • Seller will perform, at its sole cost and expense, any and all testing of all batches of the Finished Product Inventory and related tasks that Seller has, as of the Effective Date, committed to the FDA to perform on the Finished Product Inventory produced by Seller prior to the Effective Date, such testing commitments consisting solely of stability testing on lots of Finished Product Inventory manufactured by Seller until the second anniversary of the manufacture of such lots.

  • For purposes of clarity, this obligation relates solely to Finished Product Inventory manufactured before the date hereof.

  • Except as set forth on Schedule 4.11 of the Sellers Disclosure Schedule, all Existing Finished Product Inventory and Bulk Product Inventory conform to all applicable specifications in, and have been manufactured in compliance with, all applicable Registrations in all material respects.

  • On the Closing Date, subject to the terms and conditions hereof and in consideration of the Purchase Price, Sellers shall sell, convey, transfer, assign and deliver to Purchasers, and Purchasers shall purchase, take delivery of and acquire from Sellers, all of Sellers right, title and interest in, to and under the Purchased Assets and the Transferred Assets, except that title to the Existing Finished Product Inventory and Bulk Product Inventory shall transfer to Purchasers in accordance with Section 2.8.

Related to Finished Product Inventory

  • Product Inventory means all inventory of the Product owned by Seller or its Affiliates as of the Closing, including raw materials, work-in-process, bulk form drug and finished Product.

  • Eligible Finished Goods Inventory means all Finished Goods Inventory that is Eligible Inventory.
