Finished Product Inventory definition

Finished Product Inventory means all Finished Inventory of Product owned or controlled as of the Closing Date by the Elan Companies or any Affiliate thereof.
Finished Product Inventory means gold ounces in doré produced by the Mine that has not been sold;
Finished Product Inventory means (a) 950,000 pounds of unadulterated, packaged, ready to be shipped (in cartons or totes) whole bean or ground 100% premium or specialty grade arabica coffee of merchantable quality; (b) under the BROTHERS trademark or as specified by Buyer; (c) such product being no more than seven (7) months older than its manufacture date on the package for pre-pack products, and no more than ninety (90) days on bulk products, at the time of delivery to Buyer; and (d) of such combination as specified by Buyer.

  • All of the Finished Product Inventory (a) is good, issuable and merchantable in the Ordinary Course of Business, (b) was produced or manufactured in accordance with the specifications for such Product as set forth in the applicable Product Registrations and in compliance with applicable Law and (c) has at least a 12 month shelf life.

  • For purposes of clarity, this obligation relates solely to Finished Product Inventory manufactured before the date hereof.

  • Except as set forth on Schedule 4.11 of the Sellers Disclosure Schedule, all Existing Finished Product Inventory and Bulk Product Inventory conform to all applicable specifications in, and have been manufactured in compliance with, all applicable Registrations in all material respects.

  • Seller shall, at its sole cost and expense, package and label Finished Product Inventory and Remaining Inventory (to the extent purchased by Purchaser) for shipping to Purchaser using reasonable commercial diligence to prevent breakage, spoilage or damage to such Finished Product Inventory and Remaining Inventory.

  • Payment for such Finished Product Inventory shall be made by Purchaser as described in Section 2.3(b) hereof.

  • Purchasers shall use its new NDC numbers on all invoices, orders and other communications with customers and Governmental Authorities as soon as the Existing Finished Product Inventory labeled with Sellers’ NDC number have been exhausted by Purchasers or expiration of the Seller Brand License, whichever is earlier.

  • Notwithstanding the foregoing, the Seller Brand License will terminate on the earlier of, exhaustion of the Existing Finished Product Inventory or six (6) months following the Closing Date.

  • The parties shall agree twenty-five (25) calendar days prior to the anticipated Closing Date, on such Order for Finished Product Inventory.

Related to Finished Product Inventory

  • Product Inventory means all inventory owned as of the Closing by Seller of finished Compound or Product or works in progress or materials used in the manufacture of finished Product, whether held at a location or facility of Seller (or of any other Person on behalf of Seller, including in any of Seller’s warehouses, blenders, toll manufacturers, suppliers, distributors or consignees) or in transit to or from Seller (or any such other Person), including active pharmaceutical ingredient; provided that such Product is listed by Seller in Section 6.09 of the Seller Disclosure Schedule.

  • Finished Product means a cannabis product in its final form to be sold at a retail premises.

  • Finished Products means any one or more of the following petroleum oils, or a mixture or combination of these oils, to be used without further processing except blending by mechanical means:

  • Finished Goods means units of a manufactured product awaiting sale.

  • Drug Substance means an active ingredient that is intended to furnish pharmacological activity or other direct effect in the diagnosis, cure, mitigation, treatment, or prevention of disease or to affect the structure or any function of the human body, but does not include intermediates used in the synthesis of such ingredient.

  • Product means any deliverable under the Contract, which may include commodities, services, technology or software.

  • Bulk Product means Licensed Product supplied in a form other than Finished Product which can be converted into Finished Product.

  • Tobacco product manufacturer means an entity that after the date of enactment of this act directly (and not exclusively through any affiliate) meets 1 or more of the following:

  • Eligible Finished Goods Inventory means Eligible Inventory consisting of finished goods available for sale (as determined in a manner acceptable to the Administrative Agent in its Permitted Discretion and consistent with past practices).
