First Extension Event definition

First Extension Event means (a) Borrower has provided Agent, on or prior to August 1, 2021, with evidence reasonably satisfactory to Agent in Agent’s reasonable discretion that Borrower has received positive data with respect to Borrower’ s phase 3 clinical trial for Vonoprazan in treatment of Helicobacter Pylori Infection sufficient to file an NDA with the FDA and (b) the Term B Loan Advance has been made.”
First Extension Event has the meaning assigned to it in Section 2.01(c)(i).
First Extension Event means (a) Borrower has provided Agent, on or prior to June 1, 2021, with evidence reasonably satisfactory to Agent in Agent’s reasonable discretion that Borrower has received positive data with respect to Borrower’s phase 3 clinical trial for Vonoprazan in treatment of Helicobacter

More Definitions of First Extension Event

First Extension Event means Parent receiving an aggregate of Ten Million Dollars ($10,000,000), without reduction for any sales or placement commissions or other transaction costs, of new cash proceeds resulting from one or more Corporate Development Transaction(s) and/or Corporate Finance Transaction(s) after the Third Amendment Effective Date. For the avoidance of doubt, any new cash proceeds in excess of Ten Million Dollars ($10,000,000) received in one or more Corporate Development Transaction(s) and/or Corporate Finance Transaction(s) will count toward the satisfaction of the Second Extension Event.
