First Investment definition

First Investment means the Issuer’s first investment which will be made directly following Issue I, whereby an Issuer Group Company acquires real property currently controlled and managed by the Parent for the Agreed Property Value, as specified in Appendix 1.16.
First Investment means the completion of the (i) the subscription for and issuance of the Subscribed Shares and (ii) the sales and the purchase of the First Investment Sale Shares according to the terms of this Agreement.
First Investment shall have the meaning set forth in Section 3.1.

  • The latest version shall be made available on paper or other durable medium at any time in the Bank’s offices and on the web- site of First Investment Bank AD at ▇▇▇.▇▇▇▇▇▇.▇▇.

  • The methodology of First Investment Bank AD for determining the reference interest rate shall form an integral part of the Contract.

  • There shall not be in effect any Legal Requirement or any injunction or other Order that prohibits the First Investment or the Second Investment or otherwise imposes conditions or terms which are materially adverse to the value of the First Investment or the Second Investment, respectively, to TransAtlantic.

  • Riata will, and will cause each Riata Entity to, cooperate with TransAtlantic with respect to all filings that TransAtlantic is required by applicable Legal Requirements or the TSX to make in connection with the First Investment and the Second Investment, provided that this Agreement will not require Riata to dispose of (or make any change in) any portion of its business or to incur any other burden to obtain a Governmental Authorization.

  • TransAtlantic will cooperate with Riata with respect to all filings that Riata elects to make or is required by Legal Requirements to make in connection with the First Investment and Second Investment.

  • The First Investment Shares and Second Investment Shares to be issued to Riata shall be duly issued at the First Closing and the Second Closing, as applicable, as fully paid and non-assessable and will be duly and validly created, authorized and issued by TransAtlantic.

  • Subject to TransAtlantic’s obligation under Canadian Securities Laws to make timely disclosure of material information, any public announcement or similar publicity with respect to this Agreement or the First Investment or the Second Investment will be issued, if at all, at such time and in such manner as Riata and TransAtlantic, jointly, may determine.

  • Restrictions on the Target Company’s use of the Investment Advance (including but not limited to Article 2.3 and Article 2.4 of the Investment Agreement) shall also apply to the Remaining First Investment Advance, provided that, the Investor shall not object to the reasonable use of funds if for the business needs of the Target Company.

  • Except as otherwise expressly provided in this Agreement or in this Section, each Party to this Agreement will bear its respective expenses incurred in connection with the preparation, execution, and performance of this Agreement, the First Investment and the Second Investment, including all fees and expenses of agents, representatives, counsel, and accountants.

  • The Parties agree that the restrictions on the Target Company’s use of the First Investment Advance shall also apply to the Second Investment Advance, of which the funds shall be used by the Target Company only if agreed upon by the Investor and the Existing Shareholders, provided that, the Investor shall not object to the reasonable use of funds if for the business needs of the Target Company.
