The Special Baseline Bonus shall vest and become payable to Employee, subject to Employee’s continued employment by the Company or any of its Subsidiaries through the consummation of a Termination Event, if, upon the consummation of such Termination Event, the Total Equity Return as of the date of such Termination Event is equal to or greater than the First Threshold Amount.
At such time as the aggregate Losses equals or exceeds the First Threshold Amount, QuadraMed and Acquisition Co. shall be indemnified to the full extent of all such Losses (including Losses counted in determining whether the aggregate Losses equals or exceeds the Threshold Amount).
For the avoidance of doubt, the Special Baseline Bonus shall not vest and become payable, and Employee shall have no rights with respect thereto, if the Total Equity Return as of the consummation of a Termination Event is not equal to or greater than the First Threshold Amount and any portion of the Special Baseline Bonus that does not vest and become payable in connection with the consummation of a Termination Event shall be forfeited.
