This Option shall be exercisable as it vests and shall not be exercisable with respect to any of the Shares until the First Vesting Date.
Subject to the terms and conditions of this Agreement, this Option shall vest and become exercisable as to portions of the Shares as follows: If Optionee has continuously provided services to the Company, or any Parent or Subsidiary of the Company from the Date of Grant through and including the First Vesting Date, then on the First Vesting Date, this Option shall become exercisable as to twenty-five percent (25%) of the Shares.

The Holder shall, not later than the First Vesting Date or the Second Vesting Date, as applicable, pay to the Company or make arrangements satisfactory to the Company for payment of any federal, state and local taxes required by law to be withheld on account of the vesting of Shares on such date as a result of such taxable event.
