FMV Share Price definition
FMV Share Price means the fair market value of one share of Common Stock as determined by the Corporation’s board of directors.
FMV Share Price means the value attributed to each Ordinary Share included in the Option Shares, determined in accordance with Section 2(e).
Examples of FMV Share Price in a sentence
In connection with any determination of the FMV Share Price requiring determination of the Fair Market Value of the Company, the Company shall provide Holder a calculation of the amount described in paragraph (ii) of the definition of Fair Market Value of the Company, certified by the Company's independent public accountants, promptly after the applicable Option Exercise Notice is given by Holder.
The price per Ordinary Share for the Additional Shares shall equal the FMV Share Price determined in accordance with clause (iii) of Section 2(e), without any discount.
