Force Majeur Event definition

Force Majeur Event fire, flood, earthquake, elements of nature or Acts of God, acts of war, terrorism, riots, civil disorders, strikes, lockouts, labour difficulties, or any other similar cause beyond the reasonable control of a (non-performing) party.
Force Majeur Event has the meaning set forth in Section 14.02 of this Agreement.
Force Majeur Event means failure to fulfil the Terms and Conditions of this Agreement resulting from circumstances beyond the affected party’s control including, without limitation, such circumstances as fire, storm, flood, earthquake, strikes, work stoppage or slowdowns, delay or failure of transportation, or supplies, acts of the public enemy, acts of Gods or acts, epidemics, regulations, priorities or actions of the state or any local government or agents thereof.

  • The Early Years Centre will take reasonable steps to bring the Force Majeur Event to a close.

  • The performance of such Party's obligations will be suspended during the period that the Force Majeur Event persists and such Party will be granted an extension of time for performance equal to the period of the delay.

  • Notwithstanding anything else contained in this Agreement, neither Party will be liable for any delay in the performance of any of its obligations if such delay is caused by any reason wholly outside the control of the Party so delaying (a "Force Majeur Event") subject to the obligation of the Party so delaying promptly notifying the other Party in writing of the reasons for the delay and the likely duration of the delay.

  • If for any reason other than a Force Majeur Event as defined in Section 12.8 hereof, IMI is unable or unwilling, for two (2) consecutive three-month periods during the term of this Agreement, to manufacture or supply a quantity of HSM Instruments equal to the IMI Minimum Delivery Requirement for each such three-month period, BCI may elect, in a written notice to IMI, to manufacture the HSM Instrument itself, or to have another party manufacture the HSM Instrument for BCI's sale and distribution.

  • Neither party will be liable to the other for any delay or failure to perform any obligation under this Agreement (except for a failure to pay fees) if the delay or failure is due to a Force Majeur Event.

  • A fixed-term Agreement cannot be terminated prematurely, unless in the event of a Force Majeur Event, as a result of which CLIENT or NOVOSERVE can no longer be reasonably required to continue to perform the Agreement or carry out the instruction.

  • If any such Force Majeur Event shall continue in such a manner as to make impossible performance by either party for a period of more than three (3) months in any consecutive six-month period, either party may terminate this Agreement upon written notification to the other party.

  • If a Force Majeur Event continues for a period in excess of one hundred twenty (120) consecutive days as to one party which prevents that party from fulfilling in any material way its obligations under this Agreement to the other party, the other party shall have the right to terminate this Agreement upon thirty (30) days' advance written notice to the other party.

  • During the period of any Force Majeur Event, the measuring periods herein shall be extended by one day for each day of such Force Majeur Event.


More Definitions of Force Majeur Event

Force Majeur Event means any cause beyond the control of the Party affected, including but not limited to, failure of or threat of failure of facilities, flood, earthquake, storm, fire, lighting, epidemic, war, economic embargo, riot, civil disturbance or disobedience, labor dispute, labor or material shortage, sabotage, resistance by court order or public authority, and action or non-action due to failure to obtain the necessary authorizations or approvals from any governmental agency or authority which by exercise of due diligence such party could not reasonably have been expected to avoid and which by exercise of due diligence it shall be unable to overcome. No Party shall, however, be relieved of liability for failure of performance if such failure is due to causes arising out of its own negligence or due to removable or redeemable causes which it fails to remove or remedy within a reasonable time.
Force Majeur Event means events, occurrences, or causes beyond the control and without negligence of that party, including without limitation acts of God, strikes, lock- outs, riots, acts of war, earthquakes, fire and explosions and failure of third party technology providers such as in- ternet service providers and carriers.
Force Majeur Event means any unavailability caused by circumstances beyond Adtrib’s reasonable control, including, for example, an act of God, act of government, flood, fire, earthquake, civil unrest, act of terror, strike or other labor problem (other than one involving Our employees), Internet service provider failure or delay, third party services, or acts undertaken by third parties, including without limitation, denial of service attack
Force Majeur Event means any event due to any cause beyond the reasonable control of the Agent, such as restrictions on the convertibility or transferability of currencies, requisitions, unavailability of communications systems, sabotage, fire, flood, explosion, acts of God, civil commotion, strikes or industrial action of any kind (other than any such actions or strikes undertaken by the Agent itself or its employees), riots, insurrection, war or acts of government.
