Force Majeure Assisted Receivable definition

Force Majeure Assisted Receivable means any receivable with respect to which the related obligor has elected, during a Force Majeure Covered Period, to participate in a related Force Majeure Assistance Program; provided, however, that, at any time after the end of the Force Majeure Assistance Period that has been applied to a receivable, the servicer may elect to remove such receivable from “Force Majeure Assisted Receivable” status and upon such election such receivable shall no longer be considered a Force Majeure Assisted Receivable. For the avoidance of doubt, once a receivable becomes a Force Majeure Assisted Receivable it shall permanently remain in such status unless the Force Majeure Assistance Period applied to it has ended and the servicer has elected to remove such receivable from “Force Majeure Assisted Receivable” status.
Force Majeure Assisted Receivable means any Transferred Receivable (i) that is not an EPS/HPP Receivable and (ii) with respect to which the related Obligor has elected, during a Force Majeure Covered Period, to participate in a related Force Majeure Assistance Program; provided, however, that, at any time after the end of the Force Majeure Assistance Period that has been applied to a Transferred Receivable, the Servicer may notify the Administrative Agent in writing that it elects to remove such Transferred Receivable from “Force Majeure Assisted Receivable” status and upon delivery of such notice such Transferred Receivable shall no longer be considered a Force Majeure Assisted Receivable under this Agreement or any other Related Document. For the avoidance of doubt, once a Transferred Receivable becomes a Force Majeure Assisted Receivable it shall permanently remain in such status unless (x) it becomes an EPS/HPP Receivable or (y) the Force Majeure Assistance Period applied to it has ended and the Servicer has notified the Administrative Agent in writing that it elects to remove such Transferred Receivable from “Force Majeure Assisted Receivable” status.
Force Majeure Assisted Receivable means any Transferred Receivable (i) that is not an EPS/HPP Receivable and (ii) with respect to which the related Obligor has elected, during a Force Majeure Covered Period, to participate in a related Force Majeure Assistance Program. For the avoidance of doubt, once a Transferred Receivable becomes a Force Majeure Assisted Receivable it shall permanently remain in such status unless it becomes an EPS/HPP Receivable. A list of all Transferred Receivables that are in “Force Majeure Assisted Receivable” status, as of the Amendment and Restatement Closing Date, including information regarding their related Force Majeure Covered Period and Force Majeure Assistance Program, is attached as Exhibit D hereto.

Examples of Force Majeure Assisted Receivable in a sentence

  • T-Mobile PCS Holdings shall take no action, nor omit to take any action, which could reasonably be expected to materially impair the rights of the Owners in the Transferred Receivables or materially adversely affect the collectability of the Transferred Assets, except with respect to any Force Majeure Assisted Receivable in accordance with the Force Majeure Assistance Program related thereto.

Related to Force Majeure Assisted Receivable

  • Force Majeure Event means an event that arises out of causes beyond a Party’s reasonable control, including, without limitation, war, civil commotion, act of God, strike or other stoppage (whether partial or total) of labor, any law, decree, regulation or order of any government or governmental body (including any court or tribunal) and/or delays or outages caused by an internet service provider or independent (not a Party’s subcontractor) hosting facility.

  • Relevant Force Majeure Event means a Force Majeure Event in relation to which an Affected Party is claiming relief under this Clause 17; and

  • Force Majeure means an event beyond the control of the supplier and not involving the supplier’s fault or negligence and not foreseeable. Such events may include, but is not restricted to, acts of the purchaser in its sovereign capacity, wars or revolutions, fires, floods, epidemics, quarantine restrictions and freight embargoes.

  • Force Majeure Exception means any failure or delay in the performance of the Issuer’s reporting obligation pursuant to Section 2.4 arising out of or caused, directly or indirectly, by circumstances beyond its reasonable control, including, without limitation, acts of God; earthquakes; flood; terrorism; wars and other military disturbances; sabotage; epidemics; riots; loss or malfunctions of utilities, computer (hardware or software) or communication services; accidents; acts of civil or military authority and governmental action. The Issuer shall use commercially reasonable efforts to commence performance of its obligations during any of the foregoing circumstances.

  • Force Majeure Period has the meaning specified in Section 13.1.
