Forced Shareholders definition

Forced Shareholders has the meaning set out in Section 6.4(a);
Forced Shareholders has the meaning attributed to that term in Section 3.8.

  • If the consideration to be received by the Forced Shareholders in the Drag-Along Offer includes consideration other than cash or cash equivalents, the Drag-Along Offer shall, if necessary, include a valuation prepared in accordance with Section 6.5. The Drag-Along Offer shall be irrevocable.
