Foreign Governmental Approval definition

Foreign Governmental Approval shall have the meaning set forth in Section 6.10.
Foreign Governmental Approval means any consent or Order of, with or to any foreign Governmental Body set forth on Schedule 4.6.2 or Schedule 5.3.2. Each of Purchaser and Sellers will promptly furnish to the other such necessary information and reasonable assistance as the other may request in connection with its preparation of any filing or submission which is necessary under the HSR Act or to obtain any Foreign Governmental Approval. Each of Purchaser and Sellers will promptly provide the other with copies of all written communications (and memoranda setting forth the substance of all oral communications) between each of them or their representatives, on the one hand, and any Governmental Body, on the other hand, with respect to this Agreement or the transactions contemplated hereby. Without limiting the generality of the foregoing, each of Purchaser and Sellers will promptly notify the other of the receipt and content of any inquiries or requests for additional information made by any Governmental Body in connection therewith and shall promptly (i) comply with any such inquiry or request and (ii) provide the other with a description of the information provided to any Governmental Body with respect to any such inquiry or request. In addition, each of Purchaser and Sellers will keep the other apprised of the status of any such inquiry or request.

Each of the Purchaser and the Seller will promptly furnish to the other such necessary information and reasonable assistance as the other may request in connection with its preparation of any filing or submission which is necessary under the HSR Act or any other Antitrust Law or to obtain any Foreign Governmental Approval. Each of the Purchaser and the Seller will promptly provide the other with copies of all written communications (and memoranda setting forth the substance of all oral communications) between each of them or their representatives, on the one hand, and any Governmental Body, on the other hand, with respect to this Agreement or the transactions contemplated hereby. Without limiting the generality of the foregoing, each of the Purchaser and the Seller will promptly notify the other of the receipt and content of any inquiries or requests for additional information made by any Governmental Body in connection therewith and shall promptly (a) comply with any such inquiry or request and (b) provide the other with a description of the information provided to any Governmental Body with respect to any such inquiry or request. In addition, each of the Purchaser and the Seller will keep the other apprised of the status of any such inquiry or request. The Purchaser and the Seller shall each be responsible for and pay 50% of all filing fees related to the matters described in this Section 6.9.
