Prior to being deposited in a Foreign DIP Facilities Blocked Account, any Affected Net Foreign Proceeds shall be held in trust by the applicable Loan Party or Subsidiary, for the benefit of the Secured Parties.
Foreign Proceeds shall be applied, in such combination as the Company shall select, in accordance with clause (i), (ii), (iii) or (iv) of paragraph (a) of this Section 4.05, or, at the option of the Company, may be retained as cash or Marketable Securities for so long, but only for so long, as the applicable local law prohibits or delays repatriation to the United States or would result in material tax liability as described above.
