Foreign Proceeds means that term as defined in Section 2.11(f) hereof.

Foreign Proceeds means casualty insurance proceeds or condemnation proceeds received by a Foreign Subsidiary on account of a casualty or condemnation event in connection with any assets of Foreign Subsidiary or any other Foreign Subsidiary of the Company.

• Prior to being deposited in a Foreign DIP Facilities Blocked Account, any Affected Net Foreign Proceeds shall be held in trust by the applicable Loan Party or Subsidiary, for the benefit of the Secured Parties.

• Foreign Proceeds shall be applied, in such combination as the Company shall select, in accordance with clause (i), (ii), (iii) or (iv) of paragraph (a) of this Section 4.05, or, at the option of the Company, may be retained as cash or Marketable Securities for so long, but only for so long, as the applicable local law prohibits or delays repatriation to the United States or would result in material tax liability as described above.

• Affected Net Foreign Proceeds may not be used for any purpose other than to make mandatory prepayments required by Section 2.05(e); provided that, to the extent such mandatory prepayment is satisfied pursuant to Section 2.05(k)(iii), the Borrower, upon written request to the Administrative Agent, may request a release of Affected Net Foreign Proceeds in an amount not to exceed the amount prepaid pursuant to Section 2.05(k)(iii).

• Affected Net Foreign Proceeds may not be used for any purpose other than to make mandatory prepayments required by Section 2.05(e) or (f); provided that, to the extent such mandatory prepayment is satisfied pursuant to Section 2.05(k)(iii), the Borrower, upon written request to the Administrative Agent, may request a release of Affected Net Foreign Proceeds in an amount not to exceed the amount prepaid pursuant to Section 2.05(k)(iii).

Foreign Proceeds means (a) Debt Incurrence Proceeds received by a Foreign Subsidiary of the Company on account of Debt Incurrence of such Foreign Subsidiary or any other Foreign Subsidiary of the Company, (b) Equity Issuance Proceeds received by a Foreign Subsidiary of the Company on account of Equity Issuance of such Foreign Subsidiary or any other Foreign Subsidiary of the Company, and (c) casualty insurance proceeds or condemnation proceeds received by a Foreign Subsidiary on account of a casualty or condemnation event in connection with any assets of Foreign Subsidiary or any other Foreign Subsidiary of the Company.
