Formalities Certificate. A certificate being delivered to the Mezzanine Agent in respect of each Obligor in the form set out in Schedule 5 which certificate: - (a) shall have been duly completed in all respects; (b) shall be signed by the Finance Director and the Secretary of the relevant Obligor; and (c) shall have attached to it (duly initialled by the signatories to the certificate) the documents referred to in the certificate including the requisite Memorandum and Articles of Association or other constitutional documents, the board and other resolutions approving the Mezzanine Finance Documents and in the case of the Borrower the Group structure diagram.

Related to Formalities Certificate

  • Securities Certificate means any one of the Common Securities Certificates or the Preferred Securities Certificates.
