Formation Jurisdiction. With respect to any Person that is not an individual, the jurisdiction in which such Person has been formed or organized. GAAP: Generally accepted accounting principles in the United States of America as in effect on the Closing Date, consistently applied as such term is further defined in Section 2(a) of this Annex X.
