Former Director definition

Former Director has the meaning set forth in Section 2.1(b) of this Agreement.
Former Director. ’ means a person who was a director of the Manager or any subsidiary of the Trust in the last 12 months;
Former Director means the Director of Environmental Management holding office under section 18 of the former Act immediately before the commencement day.

  • The Company hereby grants the Former Director the Option to purchase all or any part of an aggregate of 1,500 shares of Common Stock (the "Option Shares") on the terms and conditions set forth herein.


More Definitions of Former Director

Former Director means, with respect to a determination contemplated by this Agreement made following a Change in Control, a Person who was a member of the Company's board of directors prior to such Change in Control but who is no longer serving on the Company's board of directors as of the time of such determination. An "Indemnification Event" shall be deemed to have occurred if Indemnitee was or is or becomes, or is threatened to be made, a party to or witness or other participant in, or was or is or becomes obligated to furnish or furnishes documents in response to a subpoena or otherwise in connection with, any Proceeding by reason of the fact that Indemnitee is or was or may be deemed a director, officer, employee, controlling person, agent or fiduciary of any Covered Entity, or by reason of any action or inaction on the part of Indemnitee while serving in any such capacity (including, without limitation, rendering any written statement that is a Required Statement or is made to another officer or employee of the Covered Entity to support a Required Statement).
Former Director means Peter Boddy;
Former Director means a person who, immediately before the transfer day –
Former Director former director of the Company who has resigned within 12 months preceding the date of announcement
Former Director means any director of NuTool who shall have ceased serving as director on or after the date on which this Merger Agreement was approved by the NuTool Board of Directors.
Former Director means the person named in Part 2 of Schedule 3, who is a former director of the Company and/or of a related corporation of the Company;
Former Director means the person appointed as Director pursuant to this Act before the coming into force of this section and includes any person appointed as Deputy Director pursuant to this Act before the coming into force of this section.
