Examples of Director or officer in a sentence
The Members intend that the Company shall not be a partnership (including, without limitation, a limited partnership) or joint venture, and that no Member, Director, Alternate Director or Officer of the Company shall be a partner or joint venturer of any other Member, Director, Alternate Director or Officer of the Company, for any purposes other than as set forth in the first sentence of this Section 2.7.
To the maximum extent permitted under the Act and other applicable law, no Member, Director or Officer of this Company shall be personally liable for any debt, obligation or liability of this Company merely by reason of being a Member, Director, Officer or all of the foregoing.
Notwithstanding the foregoing provisions, no Director or Officer shall be indemnified by the Company to the extent prohibited or limited (but only to the extent limited) by the Act.
To the maximum extent permitted under the Act and other applicable law, in the event of any action by a Unit Holder against any Director or Officer, including a derivative suit, the Company shall indemnify, save harmless, and pay all costs, liabilities, damages and expenses of such Director or Officer, including reasonable attorneys’ fees incurred in the defense of such action.
Any elected Director or Officer of the Foundation and any staff manager or employee who engages in any such retaliatory action can be punished by penalties up to and including seeking expulsion from IEEE membership for a volunteer and termination of employment for any IEEE staff member.
