Fourth Earnout Payment definition

Fourth Earnout Payment has the meaning set forth in Section 3.1(b)(iv)(C).
Fourth Earnout Payment means additional consideration in an amount equal to the lesser of (i) $*******, minus the aggregate amount (if any) paid to Seller in respect of the Earnout Payments, and (ii) the amount by which Purchaser’s ******** exceeds $****** after deduction of *****. The Fourth Earnout Payment shall be payable in cash and Common Stock, as follows: (i) cash in an amount equal to *********; and (ii) a number of shares of Common Stock equal to (x) *******, divided by (y) the then applicable Average Price.
Fourth Earnout Payment shall equal 400,000 Earnout Shares, less any Earnout Shares previously issued.

Examples of Fourth Earnout Payment in a sentence

  • The amount of additional capital to be contributed by THK to the Bonus Pool shall be (i) $150,000 upon the payment of the First Earnout Payment, (ii) $300,000 upon the payment of the Second Earnout Payment, (iii) $300,000 upon the payment of the Third Earnout Payment, and (iv) $300,000 upon the payment of the Fourth Earnout Payment.

  • Any amounts payable pursuant to this Section 1.5(g)(iii) (the “Fifth Earnout Payment”, and collectively with the First Earnout Payment, the Second Earnout Payment, the Third Earnout Payment and the Fourth Earnout Payment (in each case, if any), the “Earnout Amount”) shall be made within ten Business Days after the determination of the Final Quarterly EBITDA Statement for the applicable period in which such EBITDA threshold is met.

  • The subsequent payment corresponding to the Fourth Year Period (the “Fourth Earnout Payment”), shall be the Fourth Earnout Payment for the Fourth Year Period, provided that the Fourth Year Achieved Revenue and the Minimum Gross Margin is greater than or equal to the Fourth 8 Initial ISH Initial YS Year Target Revenue and the Minimum Gross Margin.

  • For the avoidance of doubt, if the Revenue set forth on the Final Fourth Earnout Statement is less than $180,000,000, the Fourth Earnout Payment will be $0.
