Free Cash Flow Conversion for the Performance Period shall mean the percentage equal to the Company’s free cash flow for a given period divided by net earnings for the same period, subject to adjustment for extraordinary items, non-operating items, discontinued operations, asset write-downs and impairments and other unusual and non-recurring items, currency fluctuations, financing activities, acquisitions and acquisition expenses, divestitures and divestiture expenses and the effects of tax or accounting changes. All adjustments to and the calculation of Free Cash Flow Conversion shall be determined by the Committee in its sole and complete discretion, consistent with Section 162(m) of the Internal Revenue Code (the “Code”).
Free Cash Flow Conversion means Free Cash Flow for the applicable Company fiscal year divided by Adjusted EBITDA for the same period. For the avoidance of doubt, Free Cash Flow and Adjusted EBITDA are as calculated in the corresponding Milacron Earnings Release Presentation (unless the Compensation Committee should decide to modify the calculation to adjust for any changes in the business (e.g., acquisitions, divestitures, debt refinancing, other unplanned uses of cash that impacted the normal calculation methodology). THIS AGREEMENT (this “Restrictive Covenant Agreement”) is made effective as of the Date of Grant by and between the Company and the Participant. Capitalized terms not otherwise defined herein shall have the meanings set forth in the Performance Stock Unit Award Agreement to which this Restrictive Covenant Agreement is attached as Exhibit “B” (the “Award Agreement”).
