FRENCH HOLDINGS means Euramax European Holdings, S.A., a company organized under the laws of the Republic of France and, until the Effective Date, a wholly owned, direct Subsidiary of Euramax and from and after the Effective Date, 74.23% owned by Dutch Holdings and 25.77% owned by Euramax (in each case reduced by the Qualifying Shares in French Holdings then outstanding).

FRENCH HOLDINGS is amended by adding to the end thereof the proviso "; PROVIDED, HOWEVER, that, upon the consummation of the Permitted French Holdings Share Transfer, `FRENCH HOLDINGS' shall mean Euramax European Holdings, S.A., a company organized under the laws of the Republic of France and a wholly owned, direct Subsidiary of Dutch Holdings".
