Examples of Fuels Shares in a sentence

  • Fuels agrees that, subject to any transfers of such shares, from and after the Effective Time, (i) each such holder will be entitled to receive all dividends, if any, payable on, and exercise voting rights and all other rights and privileges with respect to, the Fuels Shares then held by such holder, and (ii) each such holder will be entitled, without any action on the part of such holder, to receive evidence of ownership of the Fuels Shares then held by such holder.

  • Fuels shall prepare and file, and shall use its reasonable best efforts to have approved, an application for the listing of the Fuels Shares to be distributed in the Distribution on the OTC Markets.

  • Fuels will not issue paper stock certificates in respect of the Fuels Shares, unless it deems it necessary to do so.

  • Assuming Tech’s establishment of appropriate procedures in connection with the Distribution as reserved unto it hereunder, all Fuels Shares held by Tech on the Distribution Date would be distributed to the Record Holders in the manner determined by Tech and in accordance with Section 2.04.

  • Any sale will be made in accordance with applicable Laws and at prevailing market prices and none of Radio Fuels, NV Goldlands, the Depositary or their respective agents, as the case may be, shall be under any obligation to obtain a particular price, or indemnify any NV Goldlands Shareholder in respect of a particular price, for the portion of the Radio Fuels Shares comprising the Consideration so sold.

  • The authorized share capital of Radio Fuels consists of an unlimited number of Radio Fuels Shares without par value.

  • There are no outstanding bonds, debentures or other evidences of indebtedness of Radio Fuels or any of its subsidiaries having the right to vote with the holders of the outstanding Radio Fuels Shares on any matters.

  • All securities of Radio Fuels (including the Radio Fuels Shares and the outstanding warrants to purchase Radio Fuels Shares) have been issued in compliance with all applicable Laws.

  • None of Tech, Fuels or the Agent shall be required to guarantee any minimum sale price for the fractional Fuels Shares sold in accordance with this Section 2.04(c).

  • No Radio Fuels Shareholder has any right to compel Radio Fuels to register or otherwise qualify the Radio Fuels Shares (or any of them) for public sale or distribution.
