Examples of Fully Exercising Member in a sentence
During the fifteen (15) day period commencing after receipt of such information, each Fully Exercising Member shall be entitled to obtain that portion of the New Securities not subscribed for by such other Members which is equal to the proportion that the number of Units owned by such Fully-Exercising Member bears to the number of Units owned by all Fully-Exercising Members who wish to the unsubscribed New Securities.
During the ten (10) business day period commencing after the Company has given such Overallotment Notice, each Fully Exercising Member may, by giving notice to the Company (the “Overallotment Participation Notice”), elect to purchase or acquire, in addition to the number of Equity Securities specified above, all or a portion of such unsubscribed Equity Securities.
During the ten (10) day period commencing after the Company has given such notice, each Fully Exercising Member may, by giving written notice to the Company, elect to purchase, in addition to the number of New Units specified above, up to all of the New Units not subscribed for by any other Members.
During the ten days following receipt of such notice, each Fully Exercising Member shall be entitled to purchase that percentage of the equity interests not subscribed for by the other Members in an amount equal to the number of equity interests then held by such Fully Exercising Member compared to the total number of equity interests held by all Fully Exercising Members who wish to participate in such re-offer.
The amount of such overallotment that each Fully Exercising Member shall be entitled to purchase shall be equal to the quotient determined by dividing (1) the total number of Units then held by such Fully Exercising Member by (2) the total number of Units then held by all Fully Exercising Members who wish to purchase such unsubscribed portion of the Subject Securities.
Each Fully Exercising Member shall, subject to the provisions of this Section 8.4(c) have the additional right and option, but not an obligation (the “Secondary Purchase Right”), to purchase all or any part of the balance of any remaining Transfer Units (the “Remaining Units”).
To exercise such Secondary Purchase Right, a Fully Exercising Member must deliver written notice that such Fully Exercising Member intends to exercise its Secondary Purchase Right to the Selling Member and the Company within ten (10) days after the expiration of the Exercise Period.
The amount of such overallotment that each Fully Exercising Member shall be entitled to purchase is equal to the proportion that the Series D Preferred Units, Series C Preferred Units and Series B Preferred Units then held by such Fully Exercising Member bears to the Series D Preferred Units, Series C Preferred Units or Series B Preferred Units then held by all Fully Exercising Members who wish to purchase such unsubscribed portion of the Offered Interest.
