• In any such event, each of the parties will co-operate in the preparation of a supplement or amendment to the Circular, as the case may be, that corrects that Misrepresentation, and the Fund will cause the same to be distributed to the Unitholders as of the record date established for the Fund Meeting, the Board and the auditors of the Fund and filed as required under applicable Law in all jurisdictions where the Circular is required to be filed by the Fund.

• Each Acquired Fund will call a special Acquired Fund Meeting to consider and act upon this Reorganization Agreement (or transactions contemplated thereby) and to take all other appropriate action necessary to obtain approval of the transactions contemplated herein.
