Fund Offering Documents. “ means, in relation to any Fund, the prospectus, offering memorandum, private placement memorandum, information memorandum, explanatory memorandum, term sheet, constituent documents, application form, subscription agreement and any other offering documents of the Fund.

Examples of Fund Offering Documents in a sentence

  • Without prejudice to the foregoing, you shall ensure compliance with the procedures (if any) set out in the Fund Offering Documents, including obtaining any approval (whether from the board of directors of the Fund, the Fund Representative or otherwise) as may be required for such transfer, and neither we nor our Nominee shall be under any obligation in this regard.

  • In the absence of any Instruction from you in due time or if a satisfactory course of action cannot be agreed with the relevant Fund Representative or Fund within any time period specified for this purpose, we shall, subject to the terms of the Fund Offering Documents, redeem or procure our Nominee to redeem, the relevant Fund investment and any redemption proceeds received in connection therewith shall be paid to you in accordance with these Fund Investments Terms.

  • Manulife will effect the transaction as soon as practicable, however, the execution of such transaction may not coincide with the timeframe stipulated in the relevant Fund Offering Documents.

  • You make (or give) the representations, warranties and undertakings relating to investors and holders of such Funds as set out in the relevant Fund Offering Documents, and you agree to be bound by the terms and conditions in relation to Units of such Funds as set out in the relevant Fund Offering Documents, or other relevant documents.

  • A switch request will be processed as a redemption of your existing holdings in a Fund, to be followed as soon as practicable by subscription into the new Fund(s), subject to the terms and conditions including any restrictions in the relevant Fund Offering Document(s).

  • Any issue of Units will not take effect until a valid subscription is received in accordance with the Fund Offering Documents in Hong Kong.

  • For more information on each Fund’s frequent trading and market timing policies, please refer to the relevant Fund Offering Documents.

  • Fees and expenses for transaction in the Funds are detailed in the Fund Offering Documents for the Funds.

  • You agree to be bound by the terms and conditions of any agreements between the Nominee (in its capacity as your nominee or registered holder of the Shares in Third Party Funds on your behalf) and the Third Party Funds (or their representatives) in respect of the Shares in Third Party Funds received or held by the Nominee for you, and such other terms and conditions in relation to the Shares as set out in the Fund Offering Documents or other relevant documents.

  • Such information or documents shall include, without limitation, notices and other communications, contract notes, statements of account, receipts and Fund Offering Documents, as applicable.
