By Trade Date plus two Business Days, purchase and redemption trades can be confirmed through one of the following methods: Access through BNY Advisor Central or direct calls to a Fund, its transfer agent or Fund Provider.
In case of any requests or demands for inspection of the records of the Fund, Provider will endeavor to notify the Fund promptly and to secure instructions from a representative of the Fund as to such inspection.
Notwithstanding anything herein to the contrary, upon the termination of this Agreement as provided herein or the liquidation of the Fund, Provider shall deliver the records of the Fund to the Fund or its designee in a form that is consistent with Provider’s applicable license agreements at the expense of the Fund, and thereafter the Fund or its designee shall be solely responsible for preserving the records for the periods required by all applicable laws, rules and regulations.
At the direction of the Fund, Provider may in its sole discretion enter into servicing and/or selling agreements with qualified broker/dealers and other persons or entities with respect to the offering of Shares to the public, although Provider shall periodically inform the Fund of the nature and substance of such agreements.
Unless such non-compliance is caused by a Lending Fund, Provider shall promptly implement such Changes to the Services as may be necessary to correct such non-compliance at Provider’s sole cost and expense.
Unless otherwise specified by the Fund Provider below, all communications to be sent to the Fund Provider will be sent to the address indicated in the Dealer Agreement.
Upon request by BTC or any Lending Fund, Provider will provide a copy of such code of conduct to BTC or the applicable Lending Fund.
If non-compliance is caused by a Lending Fund, Provider shall promptly implement such Changes to the Services at Lending Fund’s sole cost and expense, subject to the Parties’ mutual agreement via the Change Procedures.
At the direction of the Fund, Provider may in its sole discretion enter into servicing and/or selling agreements with qualified broker/dealers and other persons ore entities with respect to the offering of Shares to the public.
Any such modification or enhancement will become effective following reasonable notice of the change to Fund Provider.
