Fundamental Representation definition

Fundamental Representation has the meaning set forth in Section 9.1.
Fundamental Representation means any representation or warranty set forth in Sections 3.1 (Organization; Authority; No Violation of Other Instruments.), 3.2 (Capitalization; Subsidiaries), 3.3 (Ownership and Delivery of Assets), 3.5 (Compliance with Laws), 3.13 (Intellectual Property), 3.17 (Environmental Matters), 3.20 (Accredited Investor), and 3.28 (Brokers and Finders).
Fundamental Representation has the meaning set forth in Section 7.5.

Examples of Fundamental Representation in a sentence

  • Without limiting the foregoing, Parent shall give prompt written notice to the Company of the occurrence or failure to occur of any event or the discovery of any information, which occurrence, failure or discovery would be likely to cause any Parent Fundamental Representation to be untrue, inaccurate or incomplete after the date hereof in any respect.

  • Seller shall not have any liability for any Indemnifiable Amounts pursuant to Section 7.2.1 in excess of the amount of the Final Purchase Price to the extent such Indemnifiable Amounts are based upon, caused by, arising out of, resulting from, in connection with, or relating to the breach or inaccuracy of any Company Fundamental Representation or Seller Fundamental Representation.

Fundamental Representation means the representations and warranties set forth in Sections 3.1(a), 3.1(c), 3.2(a), 3.2(b), 3.2(c), 3.2(d), 3.2(dd), 3.3(a), and 3.3(b).
Fundamental Representation means any representation or warrant set forth in Section 4.1 (Organization of the Company), Section 4.2 (Due Authorization), Section 4.6 (Brokers’ Fees), Section 4.9 (Tax Matters), Section 5.1 (Organization of SpinCo), Section 5.2 (Due Authorization), Section 5.12 (Tax Matters), and Section 5.19 (Brokers’ Fees).
Fundamental Representation means (i) in the case of Seller, the representations and warranties contained in Sections 4.1, 4.3, 4.5(a), 4.6 and 4.13 and (ii) in the case of Buyer, the representations and warranties contained in Sections 5.1, 5.2 and 5.4(a).
Fundamental Representation means the representations and warranties set forth in (a) with respect to Seller, Section 2.1, Section 2.2, Section 2.3, Section 2.4(a), Section 2.20 and Section 2.23 and (b) with respect to Purchaser, Section 3.1, Section 3.2, Section 3.3(a), Section 3.5 and Section 3.6.
Fundamental Representation means the representations provided in Section 8.1(b), Section 8.1(h), Section 8.1(k) and Section 8.1(o).
Fundamental Representation shall have the meaning set forth in Section 7.4.
Fundamental Representation means representations and warranties set forth in Section 3.1(b)(i), Section 3.1(b)(ii), Section 3.1 (b)(iii) and Section 3.1 (b)(v).
