The Partnership Merger (as defined in the Merger Agreement) and all other matters with respect to which approval is sought in the Consent Solicitation Materials (as defined in the Merger Agreement) shall have been approved and consented to by at least a Majority-in-Interest (as defined in the FW Partnership Agreement) of the limited partners of FWOP.
