GAAP Reserve definition

GAAP Reserve means the following reserves or reserves equivalent or similar thereto established and a maintained by API on its consolidated balance sheet in conformity with GAAP; (1) the "Advertising Reserve", (2) the "Cash Discount Reserve", (3) the "Promotional Reserve" to the extent that any item therein can result in a net reduction in the Unpaid Balance of the Receivables Pool, and the "Volume Rebate Reserve".
GAAP Reserve means a reserve against the TNFI Borrowing Limit and/or the Overall Borrowing Limit for reserves against Accounts in accordance with GAAP.
GAAP Reserve has the meaning set forth in Section 2(j)(ii)(C) below. “Hazardous Substance” means any substance regulated under or defined by Environmental, Health, and Safety Laws, including, but not limited to, any pollutant, contaminant, hazardous substance, hazardous constituent, hazardous waste, special waste, solid waste, industrial waste, petroleum derived substance or waste, or toxic substance. “Hermetic” has the meaning set forth in Section 7(f) below. “Hermetic Payment” has the meaning set forth in Section 7(f) below. “Hermetic Pump Business” has the meaning set forth in Section 7(f) below. “Hermetic Pump Revenues” has the meaning set forth in Section 7(f) below. “Illinois Act” shall mean the Illinois Business Corporation Act of 1983, as amended. “Indebtedness” means (i) all indebtedness for borrowed money or for the deferred purchase price of property or services (including, without limitation, reimbursement and all other obligations with respect to surety bonds, letters of credit and bankers’ acceptances, whether or not matured, but excluding all accounts payable and accruals), including the current portion of such indebtedness, (ii) all obligations evidenced by notes, bonds, debentures or similar instruments, and (iii) all capital lease obligations. “Indemnification and Release Agreement” has the meaning set forth in Section 5(a)(x) below. 4 “Indemnified Party” has the meaning set forth in Section 8(d) below. “Indemnifying Party” has the meaning set forth in Section 8(d) below. “Intellectual Property” means, with respect to the Business:

  • PDP Reserves means the Proven Reserves which are categorized as both “developed” and “producing” under the definitions for oil and gas reserves promulgated by the Society of Petroleum Evaluation Engineers (or any generally recognized successor) as in effect at the time in question and reasonably acceptable to the Administrative Agent.

  • Yield Reserve means, on any date, an amount equal to: (a) the Capital at the close of business of the Servicer on such date multiplied by (b)(i) the Yield Reserve Percentage on such date divided by (ii) 100% minus the Yield Reserve Percentage on such date.

Notwithstanding anything to the contrary in this Agreement, (i) such Availability Reserves shall not be established or changed except upon not less than three (3) Business Days’ prior written notice to the Lead Borrower, which notice shall include a reasonably detailed description of such Availability Reserve being established (during which period (a) the Administrative Agent shall, if requested, discuss any such Availability Reserve or change with the Lead Borrower and (b) the Lead Borrower shall have the opportunity to take such action as may be required so that the event, condition or matter that is the basis for such Availability Reserve or change thereto no longer exists or exists in a manner that would result in the establishment of a lower Availability Reserve or result in a lesser change thereto, in a manner and to the extent reasonably satisfactory to the Administrative Agent), (ii) the amount of any Availability Reserve established by the Administrative Agent, and any change in the amount of any Availability Reserve, shall have a reasonable relationship to the event, condition or other matter that is the basis for such Availability Reserve or such change and (iii) no event, condition or matter existing or arising prior to or on the Closing Date shall be the basis for any reserve unless such event, condition or matter shall have changed since such time in a manner that is materially adverse to the Lenders. Notwithstanding clause (i) of the preceding sentence, changes to the Availability Reserves solely for purposes of correcting mathematical or clerical errors shall not be subject to such notice period, it being understood that no Default or Event of Default shall be deemed to result therefrom, if applicable, for a period of three (3) Business Days.
