Gain on Disposal definition

Gain on Disposal shall have the meaning specified in Section 5.01.
Gain on Disposal shall have the meaning ascribed thereto in the Purchase Agreement.

Examples of Gain on Disposal in a sentence

  • The obligation of the Purchaser contained in Section 2.02, all representations and warranties of the Purchaser contained in Article III and the covenants of the Purchaser contained in Section 5.01 shall survive the Closing and remain in effect until the payment in full of the Purchase Price or, with respect to the Purchaser's obligation to pay the Gain on Disposal that has been triggered pursuant to Section 5.01, until the payment in full of the Gain on Disposal.

  • Financing Disposition means any sale, transfer, conveyance or other disposition of, or creation or incurrence of any Lien on, property or assets by the Company or any Subsidiary thereof to or in favor of any Special Purpose Entity, or by any Special Purpose Subsidiary, in each case in connection with the Incurrence by a Special Purpose Entity of Indebtedness, or obligations to make payments to the obligor on Indebtedness, which may be secured by a Lien in respect of such property or assets.
