Tenant shall maintain (or cause its Subsidiaries to maintain) all of such Tenant’s Property in good order, condition and repair, in all cases as shall be necessary and appropriate in order to operate the Facility for the Primary Intended Use in compliance with all applicable licensure and certification requirements and in compliance with all applicable Legal Requirements, Insurance Requirements and Gaming Regulations.
Notwithstanding anything in the foregoing to the contrary, no transfer of Tenant’s Property used in the conduct of gaming (including the purported or attempted transfer of a Gaming License) or the operation of a Gaming Facility for its Primary Intended Use shall be effected or permitted without receipt of all necessary approvals and/or Gaming Licenses in accordance with applicable Gaming Regulations.
For avoidance of doubt, Landlord shall not be permitted to access any areas of the Leased Property to the extent access to such areas requires a Gaming License or other approval pursuant to applicable Gaming Regulations without the prior and express consent of the Gaming Authority with jurisdiction over the applicable Leased Property.
Notwithstanding anything to the contrary contained herein, the assignment or transfer of T▇▇▇▇▇’s Property is conditioned upon and subject to compliance with applicable Gaming Regulations, including, without limitation, the receipt of all necessary Gaming Licenses by the designated assignee or transferee.
Upon reasonable advance notice to Developer, Developer shall, subject to Gaming Regulations, permit Owner and its authorized representatives to inspect the Property during usual business hours.
